Job Description: to assist attorneys in all stages of corporate formation and fund work, together with the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business activities.
Qualifications:
- Minimum of three plus years of experience as a corporate paralegal.
- Familiarity with SEC, EDGAR, and blue-sky regulations.
- Bachelor’s Degree and/or Paralegal Certificate.
- Proficiency with Microsoft Office Suite (i.e., Word, Excel, and PowerPoint).
- Strong analytical and organizational skills, ability to manage multiple projects and deadlines, and strong oral and written communication skills.
- Ability to preserve confidentiality and exercise discretion; ability to work under pressure and exercise good judgment.
Job Responsibilities:
- Draft various forms of entity formations and amendments.
- Prepare SS-4 Forms and obtain Employer Identification Numbers.
- Prepare and file 8832 and 8822-B Tax Forms.
- Form ID preparation and generation of EDGAR filings.
- Management of EDGAR filings and SEC compliance.
- Direct client interaction with clear, concise communication.
- Participate in the daily maintenance of internal Client Management System (“CMS”).
- Manage federal and state compliance work relating to blue-sky regulations.
- Work with attorneys and clients to ensure annual and recurring deadlines are met in a timely fashion.
- Act as a resource for clients, attorneys, and other third parties in connection with requests for client entity information or documents.
