Where is the work:
This position is eligible for a Hybrid work schedule (3 or more days onsite a week) and will be based out of our Davidson, NC location.
The Role:
We are looking for a Senior Corporate Counsel, who will be part of our Ethics and Compliance Group. This role will report to the Associate General Counsel – Compliance Americas. The role is based in Davidson, North Carolina and will follow the company’s hybrid work schedule. This person will practice in the area of ethics and compliance law.
Essential Responsibilities:
- Support all aspects of the development, implementation and maintenance of the Americas regional compliance program.
- Provide legal advice on a wide range of ethics and compliance topics, including anti-bribery and corruption, conflicts of interest, gifts and entertainment, and working with third-party intermediaries.
- Work with teams conducting internal investigations, remediation, risk assessments, ethics and compliance due diligence and integration in mergers and acquisitions, and due diligence and monitoring on third-party intermediaries.
- Design, prepare and conduct training sessions for employees on a variety of ethics and compliance topics.
- Support drafting and deployment of ethics and compliance communications, policies, procedures, and guidance materials.
- Advise on Environmental, Social and Governance external reporting and regulatory filing responsibilities.
- Work with and advise business clients and other stakeholders directly and provide legal advice and practical solutions for various ethics and compliance issues in a fast-paced environment.
- Identify ethics and compliance legal requirements and risks and help determine how to sensibly respond to them.
- Support significant global projects, such as Code of Conduct updates and the development and deployment of enhancements to the ethics and compliance program.
Qualifications:
- 5-10 years of ethics and compliance experience, including practice in a law firm or a corporate ethics and compliance function, preferably at a publicly traded company.
- A Juris Doctor from an accredited U.S. law school is required.
- Must be licensed to practice law in at least one U.S. jurisdiction and a member in good standing of the state bar.
- Strong attention to detail and organizational skills.
- Strong understanding of corporate ethics and compliance program governance, operations and the regulatory environment.
- Strong professionalism and excellent judgment in identifying and mitigating ethics and compliance risks while serving as a partner to our businesses. Must be able to stand firm on issues with business clients when necessary.
- Should have excellent legal, analytical, verbal and written communication skills.
- Must be a proactive and forward-thinking and demonstrate initiative.
- Must be able to work in a team-oriented, collaborative and fun but fast-paced environment that requires an ability to work under pressure, prioritize and manage the workload, and meet deadlines.
- Bilingual in Spanish or Portuguese a plus.
- This role could require travel up to 10% within the United States, with the limited potential outside the United States as well.
Compensation:
Base Pay Range: $168,000-200,000
Total compensation for this role will include a commission/incentive plan. Disclaimer: This base pay range is based on US national averages. Actual base pay could be a result of seniority, merit, geographic location where the work is performed.
