Global Communities seeks a transactionally minded Associate Counsel to serve as lead counsel for all matters related to Development Finance and Financial Inclusion. They provide legal guidance to senior management and others within the Vitas Group network and Global Communities. Drafts and reviews variety of transaction documents.
Responsibilities
- Provide direct legal services to the Development Finance Department and all financial subsidiaries and affiliates within the Vitas Group network; advises on legal goals and issues; and manages disputes and litigation to ensure robust legal representation.
- Negotiate directly with outside financial donors, lenders and potential investors and institutions including the US International Development Finance Corporation (DFC), foreign bank guarantors and other parties to develop transaction documents in support of Global Communities’ and Vitas Group financial institutions. These may include loans, guarantees, blended finance, and equity agreements. Structures deals, advises the business team, and finalizes agreements regarding the same.
- Advise on potential Vitas Ventures and Vitas Technology legal structures, transactions, and investments, coordinating with applicable counsel when appropriate.
- Provide corporate governance guidance to all Vitas Group network subsidiaries and affiliates.
- Responsible for aligning Vitas Group priorities with Global Communities priorities. Provides guidance so Vitas Group and subsidiary policies align with Global Communities standards.
- Conduct legal research pertaining to existing legal matters. Prepares briefs and makes recommendations to the General Counsel regarding risk, regulatory compliance, contracts, agreements, and other legal issues.
- Advise on various legal matters related to international operations in assigned regions.
- Review legal documents, such as services agreements, leases, and Powers of Attorney, as well as other documents utilized by business units during day-to-day operations.
- Select, supervise, and evaluate outside legal counsel as directed by the General Counsel. Negotiates with opposing counsel on legal matters where required.
- Research and draft new legal document templates as the need arises.
- Support Data Protection Counsel on data privacy related issues.
- Perform other duties and undertake other projects as may be assigned from time to time.

Location and Work Schedule
This selected candidate can be based in Silver Spring, MD or San Diego, CA. Candidates must be authorized to work in their preferred country without any restriction.
This role is on a hybrid/telework schedule. The selected candidate is expected to work at least twice a week (Tuesday, Wednesday, or Thursday) from either our San Diego or Silver Spring office and the remainder of the week from an approved remote location.
Salary and Compensation
The estimated salary for this position is between $105,394-144,916. Final salary will be based on several factors including qualifications, geographic location, experience, and internal equity. Global Communities provides a comprehensive benefits package; please note that this position is not eligible for allowances.

- Thorough knowledge and application of legal principles, concepts, practices, and standards.
- Excellent oral communication skills. Ability to communicate and advise others on issues that are complex and/or sensitive in nature. Ability to communicate effectively with persons on all levels both inside and outside Global Communities.
- Excellent business writing skills to effectively develop, compile, organize, and present information that requires subject knowledge, judgment, and/or persuasion.
- Ability to perform advanced research that involves interpretation and analysis from a variety of sources.
- Highly skilled in interpersonal communication including professionalism, discretion, and cultural sensitivity.
- Fluency in English, written and oral. Abilities in a second language preferred.
- Ability to perform work under minimal direction and participate in determining the objectives of an assignment.
- Ability to work independently, plan schedule and arrange own activities in accomplishing objectives.
Qualifications
- JD from an accredited Law School. Must be a member in good standing of a state bar (Maryland preferred).
- Minimum of four years of legal experience, or equivalent combination of coursework and experience. International and/or nonprofit experience preferred but not required.
- Economics or other financial undergraduate degree or additional financial or economics work experience preferred.
- A passion for the mission and values of Global Communities.
- Must have U.S. work authorization.
