What you'll need
Education: Master Degree from an accredited university and admission to the practice of law in at least one jurisdiction in an IDB Invest member country. Additional specialized education in any of the following areas is a plus: environmental law, project finance, law of international organizations.
Experience: At least 5 years but less than 10 years of relevant legal experience in handling projects with environmental and social issues, along with professional experience in cross-border transactions involving both civil and common law systems.
Languages: Proficiency in Spanish and English, spoken and written, is required. Additional knowledge of French and Portuguese is preferable.

Type of contract: Products and External Services Consultant (PEC), Retainer.
Length of contract: 260 days in a period of 12 months.

About this position
IDB Invest Legal Department advises Management, the Board of Executive Directors and the Board of Governors on all legal matters relating to IDB Invest. As part of its functions, we provide a full range of legal support to non-sovereign guaranteed operations throughout the entire transaction cycle, including origination, portfolio management, workouts and litigation.
We are looking for a qualified attorney specialized in environmental and social issues, who also has experience in managing projects. This attorney would provide E&S legal advice to project teams for new and ongoing operations, with particular emphasis on jeopardy projects. Additionally, the attorney's support may be needed by the Legal Department to provide legal assistance on institutional and policy-related matters, with a particular focus on E&S Policies.
What you’ll do
You will assist our team of highly specialized counsel under the direction of our Principal Counsel. Your functions may include:
- Assisting with advice to project teams in private sector and NSG loan and guarantee transactions for the IIC, particularly in relation to E&S issues and the application of E&S Policies at all project stages, including origination, supervision, workouts, and litigation, while acting as an intermediary between E&S and legal functions;
- Assisting with advice on revisions to and interpretations of IDB Invest’s E&S policies, standards, and procedures in collaboration with project attorneys and SEG specialists;
- Providing guidance on the implementation of sensitive and/or complex E&S policy issues and processes within specific projects and on a broader sector/industry basis;
- Keeping abreast on emerging and evolving E&S issues and track the development of legislation and international standards with respect to such issues working with the relevant sectoral and regional experts and E&S colleagues;
- Developing training and guidance, in collaboration with project attorneys, for E&S staff on addressing E&S issues in investment agreements and preparing E&S disclosures and Board documentation;
- Supporting E&S colleagues (in SEG, Risk Department and MGM colleagues), as well as project attorneys, in developing responses to MICI and MGM cases, and advising on communications with external stakeholders, including civil society organizations and community complainants, with input from Communication experts;
- Identifying lessons learned from on E&S issues and promoting knowledge-sharing to update model documentation, improve project structures and enhance E&S tools for both internal and external use;
- Providing advice on portfolio administration and special assets matters, including amendments and waivers of financing documentation, as well as restructurings, bankruptcy, workouts, settlements and litigation relating to impaired assets.
Deliverables and Payments Timeline
Provide support in various ICL processes in relation to the functions above by delivering the corresponding legal analysis of E&S policies and standards and providing the team with periodic updates on emerging and evolving E&S issues.
Retainer: The consultant will be paid on a monthly basis based on the progress made on the deliverables above.
