Role
The Corporate Counsel will be responsible for providing legal expertise and advice to senior management to ensure essential business practices and results, minimize corporate risk, and maximize opportunities for operational project efficiencies. This position will primarily promote contract compliance and risk management within the Virginia operations teams and further advise on overall platform risk management for the company. This position will report directly to the Managing Director responsible for the Virginia office and will work closely with regional management to ensure compliance with corporate initiatives.
Responsibilities
- Provide advice and counsel to senior management on a broad range of business matters, including but not limited to complex insurance, commercial, and construction contracts, risk management, and compliance issues.
- Work closely and collaboratively with local office directors and department leaders to communicate risk management concerns and implement decisions.
- Review and negotiate construction agreements for projects; draft agreements that minimize risks and maximize legal rights.
- Review and negotiate subcontractor MSA agreements in alignment with corporate risk tolerance, ensuring specific compliance within geographical locations.
- Negotiate and ensure correct administration of master service agreements.
- Create operational and administrative checklists tailored to the Company’s risk profile to aid project management teams in contractual compliance.
- Create tools and parameters to assist project management teams with preparation and defense of significant claims/ notices to owners, subcontractors, and vendors.
- Train and mentor operational staff on legal and insurance compliance.
- Represent the company as lead point of contact in dispute resolution and insurance claim management.
- Aid senior management in oversight of the Company’s actions and strategies relating to activity under the General Liability and Workers Comp policies.
- Advise and support the director of HR and director of finance in related matters as needed.
- Manage any outside counsel involvement with contract or business matters at the direction of local office directors.

- Organized, detail-oriented, resourceful, and flexible.
- Ability to organize, develop and maintain corporate contracts matrix.
- Well-versed in construction operations and has strong business and financial acumen.
Education
- Juris Doctorate degree from an accredited law school.
- Barred in VA, DC, or MD.
- Minimum of 7 years of experience as a practicing attorney in Construction law or related field.

This position is located in the Virginia office, with potential travel if needed.
