Job Description
Reporting to the Senior Director, Associate General Counsel – Mergers & Acquisitions, the Director - Mergers & Acquisitions Counsel position works closely with the Corporate Development and Strategy teams and senior leaders on M&A transactions. This includes leading transactions from a legal perspective, providing practical advice on issues related to the M&A pipeline, due diligence, deal structuring and contract negotiation.
Thermo Fisher has committed that inorganic growth, primarily through M&A, will represent the majority of our capital deployment strategy. Since the start of 2021, we completed two-dozen transactions representing approximately $30 billion in activity. We believe ourselves to be one of the most active M&A teams in any industry, and a clear leader in life sciences.
Key responsibilities:
- Collaborate with the M&A Legal, Corporate Development and Strategy teams and senior and functional leaders of our groups and divisions on M&A opportunities. Partner with functional specialists (e.g. Finance, Tax, IP, R&D, HR, Regulatory, EH&S, Risk, Competition) and other Company advisors (e.g. outside legal counsel, audit firms and investment banks), to coordinate due diligence activities, enable regulatory filings, prepare for closing and integrations; provide advice on deal-related issues.
- Work on a variety of transactions in all stages, from initial presentations and deal structuring to transaction closings and integration. Lead and support a wide and diverse range of M&A matters, including acquisitions, dispositions, mergers and joint ventures.
- Help draft and negotiate documentation including term sheets, bid letters, purchase agreements, and non-disclosure agreements.
- Support practice management activities, including selection and management of outside counsel, maintenance of guidelines for a worldwide M&A function. Drive an environment of continuous process improvement, including initiatives to enhance efficiency, quality and productivity.
Experience and Skills:
- JD from an accredited law school and a member in good standing with the bar. Licensed to practice law in the U.S.
- 7+ years target legal experience
- An established track record of handling large, sophisticated M&A transactions, including international deal experience; best-in-class law firm experience preferred
- Global life science, health care or highly regulated technology company experience is desired, but not required
- Ability to work well with senior management in strategic M&A initiatives as well as tactical matters; ability to collaborate with business leaders and other functions to achieve the M&A goals of the Company
- Excellent work ethic, strong negotiating and influencing skills; an enthusiastic self-starter
- A desire to problem-solve and learn, with a focus on making the team better by developing processes to help guide large teams engaged in complex and exciting work
- Exceptional oral and written communication skills
- Strong sense of ethics and integrity
- Willing to work from the Waltham, MA Headquarters
- Travel is estimated at 10 – 20%
