This role is designed for a skilled attorney with 4-6 years of experience in corporate finance, particularly in drafting and negotiating loan, security, and intercreditor documents. The ideal candidate will possess superior academic credentials, exceptional writing skills, and the ability to independently manage multiple assignments. This position offers the opportunity to work on complex transactions involving financial institutions and borrowers, with responsibilities spanning document drafting to leading due diligence efforts.
Duties and Responsibilities
- Draft, review, and negotiate loan agreements, security documents, intercreditor agreements, and related documentation.
- Provide legal advice on covenant compliance and other aspects of financial transactions.
- Lead due diligence teams, ensuring thorough analysis and evaluation of financial and legal documents.
- Manage and coordinate with specialists, such as financial analysts and legal support staff, throughout the transaction process.
- Collaborate with clients, financial institutions, and other stakeholders to facilitate transaction closures and address legal issues.
- Oversee multiple assignments and projects simultaneously, delivering high-quality work with minimal supervision.
- Ensure accuracy and compliance in all legal documentation and transaction-related activities.
Requirements
- 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
- Proven experience in drafting and negotiating loan, security, and intercreditor documents, and advising on covenant compliance.
- Superior academic credentials, including a JD from an accredited law school.
- Excellent writing skills with a strong attention to detail.
- Ability to manage multiple assignments and projects independently and effectively.
- Strong analytical, problem-solving, and organizational skills.
Education
- Juris Doctor (JD) degree from an accredited law school.
- Bachelor’s degree in Finance, Accounting, or a related field preferred.
Certifications
- Admission to the Minnesota Bar (or eligibility to obtain admission).
- Additional certifications or specialization in finance or commercial transactions preferred but not required.
