JOB SUMMARY:
The VP of Finance will work directly with the SVP of Finance and CFO to create strategies specifically as it relates to capital structures, mergers/acquisitions, and divestures. Additionally, this role will be primarily responsible for preparing all Board of Director Materials and serve as a senior member of the Corporate Finance Function.
KEY JOB FUNCTIONS:
- Capital Structure Work with CFO and SVP of Finance and Sponsors to create strategies to ensure liquidity, duration, and capital structure flexibility is maintained
- Become an expert on the covenants, limitations, and various restrictions contained in our credit agreements and indentures
- Support Investor Relations as needed from a communications perspective
- With Treasury, maintain calculations of key baskets and other drivers
- Monitor in-balance tests and other construction covenants
- Prepare marketing materials for new project financings and refinancing opportunities
- Review term sheets, credit agreements and indentures for new financings
- Assist with project related financing process
- Prepare board materials
- Deliver presentations and analysis to board and sponsors
- Utilize Analytics department resources to evaluate potential acquisition candidate
- Perform financial diligence
- Identify potential financing alternatives
- Work with Operations to evaluate opportunities
- Gain internal support
- Complete transactions as available
- Review potential asset sale opportunities and conduct sale process where appropriate
- Coordinate diligence process
- Work with Legal to draft PSA supporting Caesars objectives
- Manage process to ensure transactions is completed
- Assist Accounting with filings to ensure accuracy and provide support with respect to completed and pending transactions
- Serve as a resource for Finance related questions for the general organization
- Manage specific operating initiatives that need central control and focus
- Lead and mentor junior members of the finance organization to ensure overall knowledge of our capital structure and appropriate financial methods are being used when analysis is prepared
- Lead an organization with methods and actions that are ethical and in full compliance with all applicable laws, regulations, and Company policies.
- Identify compliance risks and take actions necessary to eliminate or minimize risks.
- Champion within the organization, a commitment to honesty, integrity, and responsible corporate behavior
- Create a compliance culture within the organization and foster an environment where employees feel comfortable reporting potential violations or misconduct.
QUALIFICATIONS:
- Bachelor’s degree; MBA required
- 7-10 years progressive leadership experience; Finance preferred
- Must possess strong analytical skills and the ability to think creatively about ways to analyze casino operations and other casino-related businesses
- Strong experience with capital structure; mergers; acquisitions and divestures
- Ability to accept ambiguous circumstances and take action where answers to a problem are not readily apparent
- Strong project management skills. Ability to manage in a fast-changing dynamic environment with many different stakeholders
- Strong communications skills
- Ability to uphold and demonstrate the highest level of integrity in all situations and recognize standards required by a regulated business
