About the Role:
We are seeking an experienced and versatile Corporate Counsel to provide advice and support on a wide range of corporate governance, contractual, data privacy, and employment matters. The Corporate Counsel position will have responsibility for advising leaders in all business units with a special focus on corporate executives, Finance, and Data, Analytics & Technology on a variety of legal and regulatory matters pertaining to the transaction of business, coordinating strategy and responding to regulatory compliance matters. The Corporate Counsel will be a part of a highly collaborative team whose contributions are crucial to the ambitious goals of this fast-growing re/insurance company and partnership capital platform.
The base salary expectation for this role is between $130,000 and $190,000. Actual base salary for the selected candidate may be higher, commensurate with candidate experience and expectations. Depending on the candidate’s experience and skill set, we expect to fill the role at either the Senior Counsel or AVP level. Responsibilities & Accountabilities:
- Provide practical and actionable regulatory/legal/operational guidance to leaders in all areas of the business on a wide range of issues involving corporate, financial, cybersecurity, data privacy, employment, and tax matters.
- Draft Board resolutions, support preparation of Board materials, and coordinate communications with the Board and shareholders.
- Review financial statement notes, management representation letters, and audit materials for accuracy and comprehensiveness.
- Advise on a wide variety of technology matters, including cybersecurity, data privacy, and artificial intelligence.
- Negotiate legal team’s efforts with respect to vendor contracts and coordinate related risk management activities.
- Support risk management in assessing risks and implementing controls and governance.
- Advise on a variety of employment matters, including long-term compensation, employment policies, and benefits.
- Stay up to date with relevant laws, regulations, and industry best practices affecting the U.S. re/insurance market, including data privacy and cybersecurity, and ensure the company's operations comply with these requirements.
- Develop and implement compliance programs to minimize legal risk, including assisting in developing and implementing company policies and procedures, delivering training, and tracking compliance matters.
- Support preparation and filing of various corporate regulatory filings, including Holding Company Act filings, in relevant jurisdictions as needed.
- Support strategic initiatives as needed, including legal due diligence for potential transactions, mergers, acquisitions, and other business activities to assess legal risks and support decision-making processes.
Ideal Candidate Profile:
- Juris Doctorate from an accredited law school.
- 7-12 years of counsel experience in corporate law, ideally in the Insurance/Reinsurance industry.
- Experience in data privacy and cybersecurity law and/or employment law a plus.
- Experience with securities offerings and securities law compliance a plus.
- Superior writing and language comprehension skills.
- Strong analytical acumen.
- Demonstrate a high proficiency in time management, leadership, organizational influence, and project management skills.
- Have a proven track record of results achievement, collaboration, teamwork, problem-solving, and negotiation skills.
- Have strong interpersonal and communication skills and the ability to effectively interact with a broad spectrum of constituencies.
