The Role
AspenTech is seeking an experienced corporate lawyer to join its fast-paced and growing Legal Department. This is a unique position with an unusual variety of high-profile work projects within the organization, including in the areas of M&A and other corporate development transactions, support of the corporate secretarial function, public company reporting, corporate finance, and department financial management and policy development. The position will report to the SVP & General Counsel in Bedford, MA.
Your Impact
- Structure and negotiate strategic transactions, including M&A, business alliances, share repurchase programs, credit facilities, and other corporate finance activities.
- Provide primary legal support for the company's public company reporting and disclosure obligations, including 1934 Act reports, annual proxy statement, and sustainability report.
- Assist the company's corporate secretarial function, including the preparation of Board meeting materials and minutes, entity management of international subsidiaries, and the drafting and implementation of policies, charters, and procedures.
- Direct and optimize the work of external law firms.
- Help manage the department's financial operations through budget planning and tracking.
- Provide day-to-day support to business units, including Finance, Information Technology, Marketing, and Investor Relations.
- Maintain the company's insider stock ownership program.
- Draft, review, and negotiate a wide range of commercial contracts, quickly identifying and prioritizing high-risk and mission-critical transactions.
- Provide support for other strategic matters as determined from time to time.
What You'll Need
- 9+ years' experience as a lawyer in a diversified US law firm and preferably the legal department of a public technology company.
- J.D. with superior academic credentials from a nationally recognized law school.
- Executive-level communication skills with the ability to provide clear, correct, and concise written and oral advice in a business context.
- Subject matter expertise and experience in M&A, public company reporting, and corporate governance matters.
- Demonstrated negotiation and conflict resolution skills.
- Flexibility and willingness to work on a broad variety of legal matters and a positive attitude.
- Demonstrated ability to adapt to new or unfamiliar challenges or areas of responsibility.
- Ability to form strong working relationships with internal clients while maintaining firm adherence to proper legal standards.
- Ability to travel internationally and to function in a global time-zone environment.
- Strong sense of integrity and appreciation for confidentiality issues.
- Excellent business acumen.
- Admission to state bar.
