A law firm is seeking a Corporate/Business Law Attorney for its Uniondale location. The Corporate/Business Law Attorney will be responsible for providing legal counsel and representation to clients in various corporate matters, with a focus on real estate-related issues. The ideal candidate will have substantial experience in drafting and negotiating a wide range of corporate documents, performing due diligence, and closing corporate transactions. Excellent writing and drafting skills are essential, and preference may be given to candidates with a book of business. Duties:
- Draft and negotiate operating agreements, stock and asset purchase and sale agreements, corporate formation and reorganization documents.
- Draft shareholder agreements, buy/sell agreements, security agreements, and confidentiality agreements.
- Draft employment agreements, term sheets, and letters of intent.
- Close corporate transactions in accordance with legal requirements.
- Provide strategic legal advice to clients on corporate matters.
- Maintain client relationships and provide ongoing support and counsel.
- Stay updated on relevant laws and regulations affecting corporate clients.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the New York State Bar or eligible for admission.
- 3+ years of experience practicing corporate/business law.
- Strong background in real estate-related corporate matters.
- Excellent writing and drafting skills.
- Ability to work independently and manage multiple projects simultaneously.
- Strong analytical and problem-solving skills.
- Ability to communicate complex legal concepts clearly and effectively.
- Demonstrated commitment to professionalism and ethical conduct.
Education:
Juris Doctor (JD) degree from an accredited law school.
Certifications:
Admission to the New York State Bar or eligibility for admission.
