We are seeking qualified candidates for the Global Supply Chain General Counsel, Subsidiary Manager and Corporate Finance position of Resideo Technologies, Inc.

The position supports the Global Integrated Supply Chain function, and is responsible for corporate finance transactions, all commercial legal functions of the supply chain organization as well as subsidiary management (including but not limited to resolutions and dissolution of subsidiaries).

Job Duties:
- Provide legal advice and counsel surrounding a myriad of business-critical processes, including general commercial support, direct and indirect vendor, design, manufacturing and joint development agreements, document/records management, subsidiary management/corporate governance, supply chain disputes, local legal requirements for permitting, manufacturing and outsourcing agreements, regulatory, business expansion, corporate finance transactions, merger, acquisition and disposition.
- Negotiate, review, draft and manage a broad range of commercial agreements including Contract Manufacturing, Outside Design and Manufacturing, Joint Development Agreements, Non Disclosure Agreements, Third Party Vendor Agreements, Direct and Indirect Supply Agreements, Licensing & Procurement agreements, site lease agreements, and provide legal advice pertaining to affirmative and defensive claims in relation to any such agreements, and internal entity reorganizations, factory or site closures and other supply chain related transactions. Additionally, serve centralized support for corporate and mergers and acquisitions functions, including credit and debt agreement implementation, modification and amendments.
- Support/liaise with all functions and businesses in the Resideo organization as well as engage, direct, and manage outside counsel as required. This position will be located in Melville, New York, Charlotte, NC or Golden Valley, MN.
- Assure business compliance with all applicable laws, regulations and standards, good business practices and company-documented procedures and Code of Conduct.
YOU MUST HAVE:
- A LLB/JD or equivalent law degree from a top US Law School and admitted to practice in the jurisdiction where practicing.
- At least 8 years experience with a major law firm and/or corporation as a business or segment general counsel or supply chain counsel.
- Strong interpersonal, negotiation and communication skills.
- Superior legal drafting skills and experience drafting and negotiating a wide range of commercial contracts and corporate documents.
- Exceptional judgment for evaluating business risk and advising on course of action.
- Experience advising senior management or business leaders.

- Experience with a wide range of legal issues including antitrust & competition law issues, litigation (particularly supply chain, warranty and product failures), dispute resolution, distribution, environmental, intellectual property, licensing, tax and compliance issues, entity management and internal investigations.
- Experience working on legal issues relating to various technologies such as electronics, HVAC/comfort, security systems, networking and communications, software and SaaS, power and lighting, control protocols and methods, sensors, or audio and audiovisual distribution.
- Experience working on corporate finance and mergers, acquisitions and divestitures.
- Strong intellectual capacity & work ethic along with a high personal standard of excellence and strong communication skills.
- An enthusiastic attitude with strong interpersonal skills, process improvement focus, and a desire to enhance Resideo's transactional oversight and contract excellence initiatives.
- Strong business acumen, a strong customer/business partner focus & leadership presence, along with an understanding of basic finance and accounting.
- Strong organizational skills, with the ability to prioritize and work independently under general instructions.
- Self driven mindset to take initiative when required within a high-volume, fast-paced transactional practice.

- Willingness to travel approximately 10% of the time.
WHAT's IN IT FOR YOU:
- The typical base salary for this role ranges from USD $234,167 to $391,058 per year but varies by specific work location. For example, the base salary for this role in Melville, NY is $269,292 to $449,717 per year and New York City, NY is $281,000 to $469,270. Within a range, Resideo determines base pay for an individual based on various factors, including market conditions, skills, and experience.
- This role is eligible to participate in the Resideo Bonus Plan (RBP) subject to the terms and conditions of the Plan. You can earn an annual bonus of 20% of your annual salary. This percent will be prorated based on your hire date. Business performance against pre-established financial goals for the fiscal year will determine 100% of the bonus payment amount. If your first day of eligibility under the Plan is after November 1st, you are not eligible for an RBP payout in March of the following year.
