Regulatory and Corporate Counsel

Reporting directly to the Head of Legal, this role offers a unique blend of autonomy, collaboration, and the chance to work on high-profile projects that shape our global business.
The role will focus in part on regulatory compliance and strategy relating to Groupon’s global marketplace platform. This includes ensuring compliance with regulatory laws applicable to marketing merchant and vendor products on our platform, staying abreast of relevant laws and regulations, assisting in investigations and regulatory enforcement and litigation, and working closely with the business to ensure a strategic and legally compliant approach to market.
In addition, the role will touch a variety of other areas, including assistance on managing active litigation, assisting with commercial contracts, helping with developing Groupon’s global compliance program, advising on the legal implications of tax matters. We are looking for someone with experience in these areas but who is also eager to learn and branch out in their legal skills.

Responsibilities
- Provide support on regulatory matters, including but not limited to, aiding commercial business in approving certain deals on our platform consistent with regulatory laws and policies, respond to complaints from regulatory bodies, stay abreast of regulatory trends and policies, and assist the team on any investigations or litigation that may arise.
- Coordinate with Groupon’s risk team, as needed, on regulatory and compliance-related matters or investigations.
- Support M&A diligence and related projects, as needed from a compliance or regulatory perspective.
- Be a key advisor on US and international compliance laws and regulations, draft and update compliance policies, conduct regular compliance training to employees, vendors and/or merchants, conduct audits to ensure compliance with laws and policies.
- Conduct compliance-related investigations that are raised through our Compliance hotline or through other channels. Interview witnesses, gather facts, and prepare closing-reports and be a key member of the team that implements any corrective policies, actions or training, as required.
- Assist on managing active litigation in the U.S. and Europe.
- Research and advising on miscellaneous intellectual property, commercial, contractual, and tax matters.
- Actively manage and select outside counsel and other external resources and spend.
- Manage third-party vendor relationships.
Qualifications
- JD with an active bar membership is required. Illinois bar membership strongly preferred.
- 3+ years experience at a reputable law firm and/or corporate legal department.
- Experience with US and EU compliance and regulatory laws.
- Experience with online, mobile and eCommerce issues is preferred.
- Ability to collaborate and communicate effectively with all levels across the organization.
- Strong organizational and communication skills.
- Demonstrated agility to balance legal and compliance risk with commercial and practical focus, including finding solutions to drive business forward in a legally and ethically compliant manner.
- A collaborative, energetic, team-player with a great attitude who is willing to roll-up their sleeves to do the work and to help colleagues in a fast-paced (and fun) legal department.
