The position serves as the Associate General Counsel for Covenant Living Community Operations. The position reports to the organization’s General Counsel. The position plans and directs all aspects of legal matters related to Community Operations and ensures maximum protection of its legal rights. The position leads the defense of contract, employment and regulatory actions taken against individual communities and takes legal actions necessary on behalf of the individual communities to enforce their legal rights. The position accesses the established legal resources and utilizes a broad range of legal expertise and knowledge to ensure overall legal and regulatory compliance. The position advises community operations leaders on a broad range of legal matters and ensures Community Operations are prepared for regulatory changes or actions that may impact the business. The position oversees the preparation of all community related filings, applications, registrations, and other legal documents.
Community Operations
- Leads the organization’s continuing care regulatory compliance including continuing care contracts, annual registrations, annual updates of disclosure statements, compliance related to entrance fee contract signing and all related documentation consistent with state law, directs continuing care contract summaries and education, responsible for all continuing care compliance surveys and directs continuing care registrations.
- Provides legal support and consultation to community operations and responds to community related issues including resident/employee matters, community crises response and day to day operations, regulatory and legal matters. Collaborates with community operations in development of and compliance with community policies and procedures.
- Develops and maintains resources and legal infrastructure to assure the process for new resident admissions including disclosure statements, entrance fees and contract signing meet all state requirements.
Compliance
- Serves as corporate compliance officer and leads the corporate compliance committee meeting federal and state requirements. Reports to the board of directors regarding corporate compliance and provides a quarterly corporate compliance report in the executive session of the board.
- Partner with leaders to identify talent forecasting, trends, and placement strategies.
- Directs the regulatory compliance for communities including continuing care, assisted living, nursing care, CMS, and state Medicaid programs. Responsible for continuation of all licenses for provision of care, provision of services and reimbursement. Supports HR related to employment law compliance with outside counsel. Leads the preparation and response for regulatory continuing care evaluations and site inspections.
- Assures compliance with other federal regulations and policies including HIPAA, Fair Housing and other regulatory agencies.
- Collaborates with national and local associations such as LeadingAge, AHLA and others for regulatory advocacy and timely responding to legal developments. Leads advocacy efforts related to community operations.
- Responsible for the organization’s corporate registrations and vendor contract approvals.
Community Litigation and Regulatory Response
- Leads community litigation and claims related to resident contract matters, general contract matters and employee matters. This includes defense of claims and prosecution of claims and taking legal actions needed to support the community.
- Responsible for responding to all community regulatory inquiries and demands.
- Supports the General Counsel in professional liability and general liability claims through leading community related litigation discovery, responses, and coordination.
Support to General Counsel
- Supports the General Counsel related to affiliations/acquisitions. Directs the legal aspects of new community transition and integration teams through the transition/integration teams.
Contract development & management
- Responsible for all resident contract development, compliance and admission contracting requirements for continuing care, nursing care and assisted living.
- Creates systems for the management of legal functions at the communities such as resident/vendor contract management, continuing care disclosure statements and sales closings for new entrance fee residents.
Community Benefit
- Leads the community benefit program at each community to maintain compliance with all state and federal income, personal property, and real estate tax exemptions.
EDUCATION AND WORK EXPERIENCE:
Required Degree: Juris Doctor
Certificate(s):
- Admittance to State Bar in a Covenant Living state
Experience:
- 10+ years providing legal services for senior living and continuing care organizations
- 5+ years experience in general private practice of law
- Proven experience leading legal compliance for senior living organizations
- Proven experience leading teams across the country without direct authority
KNOWLEDGE, SKILLS AND ABILITY:
- High level proficiency in regulation of continuing care retirement communities, long term care communities, skilled nursing facilities and federal reimbursements
- Deep understanding of long-term care facility litigation defense
- Proficient in Legal knowledge supporting federal compliance for nonprofit tax-exempt corporations
- Proficiency in corporate compliance for long term care organizations
- Ability to apply laws for sites in multiple states along with federal regulations
- Significant general knowledge and abilities related to senior living operations
