What You'll Do:
This role will provide legal counsel to internal business clients on both routine and complex matters regarding legal risk and specifically commercial, technology and transactional matters.
Primary Duties and Responsibilities:
To perform this job successfully, an individual must be able to perform each primary duty satisfactorily.
- Draft, review, and negotiate a wide range of commercial contracts and agreements, with an emphasis on technology-related agreements, such as agreements to procure software as a service, software licenses, and professional services.
- Identify and manage risks and propose solutions to mitigate risks with respect to transactions, technology, data, security, and operations.
- Administer certain policies and procedures for the commercial transactions team, including associated controls.
- Conduct legal research and provide analysis on various commercial legal issues.
- Collaborate with internal stakeholders across different departments, such as strategic sourcing, IT, third-party risk management, and security, to address legal matters affecting the business.
- Establish forms, templates, and contract processes to apply best practices, ensure accuracy, and identify gaps.
- Identify and apply best practices in the marketplace and collaborate with other transactional attorneys to identify and implement appropriate changes to existing practices.

Qualifications:

- [Required] 5-10 years of relevant commercial transactions experience at a law firm or corporate in-house position.
- [Preferred] In-house experience with IT transactions.
- [Required] Ability to structure complex technology relationships, including drafting, reviewing, and negotiating agreements for software as a service (SaaS), professional services, and software licenses.
- [Required] Ability to promptly produce high-quality, accurate, and detailed work product.
- [Required] Excellent analytical and problem-solving, interpersonal, communication, and collaboration skills, including strong writing skills.
- [Required] Capable of handling several high complexity matters with a significant degree of independence.
- [Required] Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with good business practices and reason and to quickly shift priorities in response to changing business environment or priorities.
- [Preferred] Familiarity with securities and commodity laws and regulations and experience working with regulatory agencies or regulated financial institutions.
- [Preferred] General working knowledge of the clearance and settlement and risk management functions of a clearing organization.
Technical Skills:
- [Required] Microsoft Office (Excel, Word).
Education and/or Experience:
- [Required] Juris Doctor or equivalent degree from a law school accredited by the American Bar Association.
- [Required] Bachelor's degree from accredited college or university.
Certificates or Licenses:
- [Required] Admitted to practice law in Illinois.
