Position Summary
The Assistant General Counsel and Research Counsel is responsible for negotiating research contracts, including clinical research agreements, clinical trial agreements, material transfer agreements, data use agreements, nondisclosure and confidentiality agreements, and federal and non-profit subcontracts. This position reports to an Associate General Counsel for the purpose of providing legal representation for Boston Medical Center, with a functional reporting relationship to the Executive Director for Research Administration.

Essential Responsibilities / Duties
- The position supports the research function by negotiating Clinical Trial Agreements (CTAs), Confidentiality Disclosure Agreements (CDAs) and other clinical trial and research related agreements with sponsors and/or their CROs. The Assistant General Counsel and Research Counsel will also assist in the drafting and negotiation of Master Agreements with sponsors.
- The key responsibility of this role is to ensure that the terms of all executed agreements appropriately protect Boston Medical Center (BMC) and its affiliates. The individual will analyze complex requirements associated with both incoming and outgoing agreements.
- Negotiate terms and conditions for sponsored research agreements, including, but not limited to, applied and development research contracts, material transfer agreements, data use agreements, business associate agreements, confidentiality agreements, subcontract agreements, and other award instruments.
- Conduct comprehensive analyses of agreement provisions regarding intellectual property ownership and licensing, publication, confidentiality, liability, indemnification, payment terms, compliance, and deliverables.
- Clearly and concisely convey Hospital positions and the rationale for these positions to sponsors while working to maintain good sponsor relations.
- Solicit input from Investigators and other central administrative offices, such as Institutional Review Board, Office of the General Counsel, and Risk Management, as appropriate.
- Work collaboratively with other members of Research Operations, including Sponsored Programs Administration, the Clinical Trial Office, and Research Finance.
- Advise Investigators and their staff of unusual or problematic terms, coordinate plans of action, and inform of the status of the negotiation.
- Work in conjunction with the Director of Research Contracts and Industry Agreements, the Associate General Counsel and Senior Research Attorney, and the Executive Director of Research Administration to develop metrics, best practices, and agreement templates for improving the efficiency of BMC’s research contracting.
- Collaborate with the Director of Research Contracts and Industry Agreements, the Associate General Counsel and Senior Research Attorney, and the Executive Director of Research Administration on institutional training and education efforts related to contracting.
- Other duties as assigned.
Education
- Bachelor's Degree required.
- Juris Doctor from an accredited law school required.
- Admission to the Massachusetts Bar or the ability to be admitted immediately.
- Professional experience, business acumen, judgment and integrity to effectively advise Investigators and their staff and to protect the Hospital’s interests.
- Some Experience Negotiating Research Contracts Is Preferred.
- Skills in dealing with others in work relationships, including conflict resolution.
- Ability to make difficult decisions.
- Excellent oral and written communication skills.
- Demonstrated experience in utilizing a contract management system and/or clinical trial management system preferred.
- Ability to work efficiently and effectively under deadline pressures.
- Ability to efficiently and effectively manage multiple projects simultaneously.
- Strong customer service orientation.
