A law firm is seeking a highly skilled Real Estate Associate Attorney to join its team in Atlanta, GA. The candidate must have 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and/or commercial mortgage-backed securities (CMBS). The role requires strong academic credentials, along with exceptional verbal, writing, and interpersonal skills to effectively serve clients in complex real estate matters.
Key Responsibilities:
- Advise and represent clients in real estate financing transactions, including drafting, negotiating, and reviewing loan agreements, mortgages, and related security instruments.
- Provide legal counsel to lenders on complex financing matters, focusing on co-lender and intercreditor agreements.
- Manage commercial mortgage-backed securities (CMBS) transactions, ensuring compliance with relevant regulations and industry standards.
- Conduct comprehensive due diligence on real estate transactions, including title and survey reviews, and assist in resolving title defects.
- Draft and revise a variety of legal documents related to real estate transactions, including loan agreements, promissory notes, deeds of trust, and other security documents.
- Offer strategic legal advice on structuring, negotiating, and executing real estate transactions to meet client objectives.
- Lead negotiations and interact with opposing counsel, clients, and other stakeholders to facilitate the closing of real estate transactions.
- Work closely with the internal legal team and external parties to ensure smooth and timely transaction closings.
- Stay up-to-date with developments in real estate law, regulations, and market trends affecting real estate financing and CMBS.
- Address post-closing matters and provide ongoing legal support to clients regarding real estate financing and compliance.
Requirements:
- Experience: 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and CMBS transactions.
- Education: Juris Doctor (JD) degree from an accredited law school.
- Bar Admission: Licensed to practice law in Georgia or eligible for admission.
- Academic Credentials: Excellent academic performance is required.
Certifications:
- Active member in good standing with the Georgia State Bar or eligible for waiver.
Skills:
- Strong legal drafting, research, and analytical skills, with experience in real estate financing and CMBS transactions.
- Excellent verbal and written communication skills, with the ability to explain complex legal concepts clearly to clients and team members.
