The Senior Lead Counsel I is a senior level position responsible for providing legal guidance and thought leadership to the business. The overall objective of this role is to provide legal support, advice, and guidance to the business.
Team / Role Overview
Citi’s Issuer Services business is one of Citi’s Services business. Issuer Services itself is a market-leading business providing agent, trustee and banking services to all manner of loan and bond transactions under a very wide array of governing laws as well as escrow and custody services alongside a substantial depositary receipt business. The breadth of transaction types that lawyers in the Issuer Services legal team are exposed to is huge – from cash to custody, bonds to loans, emerging markets to sovereigns, structured finance to high yield, DCM to ECM as well as too many governing laws to list here.
This role requires a pragmatic, proactive attorney with thorough understanding of the Business, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate. You will provide input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions.
What you will do
Working in close partnership with Legal and Compliance colleagues around the world you can expect to support the business and members of the Issuer Services legal team in connection with new transactions as well as in responding to litigation, the sanctions environment, regulatory change and market developments anywhere in the world - but particularly in our LATAM cluster. You will also ensure that our policies, practices, procedures and precedent documents are up to date and compliant with latest developments in case law and legislation and help with the development of cutting edge products. You will:
- work closely with colleagues in the business and fellow control functions to ensure that the deals that the business takes on meet our legal criteria and Citi’s overarching requirements for Responsible Finance
- act as an escalation point for in-business transaction managers to assist them with specific legal issues (such as amendments to indemnification language) or to interpret and/or understand contractual provisions
- review, negotiate and if appropriate approve documents such as NDAs and Powers of Attorney in line with Citi requirements
- instruct and manage external counsel
- support other colleagues in Issuer Services legal globally including in connection with litigation, defaults, restructurings and complex issues generally

Specific Qualifications:
You should have:
- excellent language skills so that you are able to function in a professional environment both in English and in one or both of Spanish and Portuguese
- 7+ years of relevant industry experience, preferably in financial services and including exposure to financial services transactions in LATAM countries
- banking or financial industry experience, including in laws related to banking regulations in one or more LATAM jurisdictions
- experience with complex deals, demonstrated ability to analyse issues and proactively develop commercially astute legal solutions
- effective communication and negotiation skills and ability to build and maintain trusted relationships
- excellent interpersonal, organisational and relationship management skills
- Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment
- Bar license in good standing to practice law, preferably in a LATAM jurisdiction
