PURPOSE/SUMMARY:
We are looking for a dynamic and experienced attorney to manage contract-related activities across our global business. This position is located at our corporate headquarters in Manchester, CT.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Reporting directly to the General Counsel, the Assistant General Counsel (“AGC”) will have primary responsibility for drafting and negotiating various types of commercial agreements, and for managing contract administration and compliance across all sites. The AGC will:
- Review, draft, and negotiate all types of agreements, including product sales (both private and government), materials and services, staffing and recruiting, licenses, real property, consulting, non-disclosure agreements, settlements, and others as required;
- Oversee contract internal review, approval, and execution, ensuring compliance with company policies and applicable laws and regulations;
- Interpret contracts and advise management on contract terms;
- Ensure compliance with contractual terms and conditions, flow down requirements, customer specifications, and government regulations (including FARs);
- Create and maintain standard agreement templates;
- Support preparation of proposals for new business opportunities, including compliance review;
- Develop, conduct, and oversee training related to contracts and contract management systems and responsibilities for applicable employees;
- Oversee contracting activities at corporate and site levels, including interface with members of contract management team, for purpose of:
- Keeping company personnel in other departments advised regarding specific contract terms and requirements; implementation of new contracts, purchase orders, extensions and amendments; key dates and alerts; reporting requirements; etc.;
- Interfacing with customers and other parties on a day-to-day basis regarding contract-related matters;
- Responding to customer requests for information, certifications, surveys, etc. and internal requests for contract-related support;
- Implementation and administration of a contract database and filing system, using consistent standards for data entry and document storage and backup;
- Creating and preparing documentation, reports, and tracking mechanisms to support contract management activities.

SUPERVISORY RESPONSIBILITIES:
This job has no supervisory responsibilities.
EDUCATION AND/OR EXPERIENCE:
JD degree from an accredited US law school.
Admission to practice and in good standing in Connecticut, or with the ability to waive in to the Connecticut state bar.
Minimum of five years’ relevant contracts experience, either in-house in a manufacturing environment or in the corporate department of a law firm.
Significant experience with government contracts, including FAR and DFAR compliance requirements.
