What you’ll be doing...Verizon is looking for a senior attorney to join the Corporate Governance & Reporting team in Basking Ridge, NJ or New York City, NY. The attorney in this role will advise the company, senior management and the Board of Directors on corporate governance, SEC reporting, compliance with U.S. federal securities laws and other public company matters.
- Assist with matters related to meetings of the Verizon Board of Directors and Board Committees, including preparation of meeting materials, resolutions, minutes and relevant research.
- Assist with drafting the Proxy Statement and related materials for Verizon’s annual shareholder meeting and manage shareholder proposals and SEC no-action letter requests.
- Provide advice and counsel regarding subsidiary management and corporate recordkeeping.
- Prepare and review SEC filings, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 Filings (Forms 3/4/5) and others; and advise on complex public company disclosure and reporting matters.
- Monitor and ensure compliance with governance-related requirements under Delaware law and NYSE and Nasdaq listing standards.
- Advise on Investor Relations and public company communications matters and best practices, including communications to shareholders and broad employee groups.
- Monitor corporate governance trends, and regulatory and legislative initiatives for impacts on Verizon.
Where you’ll be working...This hybrid role will have a defined work location that includes work from home and assigned office days as set by the manager.
What we’re looking for...You’ll need to have…
- J.D. or LL.M. degree.
- Bar membership in good standing in at least one state.
- 10 or more years of capital markets or public company advisory experience in-house and/or at a top law firm.
- Strong knowledge of federal securities laws, stock exchange listing rules and public company market practices.
- Excellent legal and business judgment.
- Outstanding writing, editing and oral communication skills, adaptive to and effective for different audiences.
- Excellent interpersonal skills and ability to build and maintain relationships within an organization.
- Ability to prioritize multiple responsibilities and process a large volume of work in a timely manner with attention to detail.

If you are hired into a California, Colorado, Connecticut, Hawaii, Maryland, Nevada, New York, Rhode Island, Washington or Washington, D.C. work location, the compensation range for this position is between $205,000.00 and $381,000.00 annually based on a full-time schedule. The salary will vary depending on your location and confirmed job-related skills and experience. This is an incentive based position with the potential to earn more. For part time roles, your compensation will be adjusted to reflect your hours.
