We have an opportunity for an Associate General Counsel, M&A and Securities to join our Golden Valley, MN team. You will provide legal services across a number of corporate, strategic and legal matters, including:
- mergers, acquisitions, investments, joint ventures and dispositions,
- corporate finance transactions,
- SEC reporting and disclosure,
- general corporate matters,
- global ESG disclosure requirements and reporting.
This individual will report to the Executive Vice President, General Counsel and Secretary of Pentair.
You will:
- Provide legal advice with respect to disclosure matters, including in connection with quarterly and annual reports filed with the SEC, earnings releases, lender reporting obligations, securities offerings and financing transactions.
- Lead the preparation of the proxy statement, Section 16 filings and related disclosures required to be filed with the SEC.
- Manage corporate governance matters, including overseeing various corporate policies and plans, preparing materials for board and committee meetings, and managing the board minutes.
- Lead and supervise the North America entity management team.
- Provide legal advice and support regarding global ESG disclosure and regulatory requirements, compliance, and external reporting.
- Lead and manage the legal aspects of various transactions, including mergers, acquisitions, investments, divestitures and joint ventures.
- Regularly interact with senior executives, members of the finance, HR, tax, business planning and segment teams as well as external advisors.
- Provide support and advice on commercial contracts, including drafting and negotiating agreements.
Key Qualifications:
- Juris Doctor with 10+ years in an M&A and corporate and securities related position.
- Broad corporate & securities and M&A experience, preferably including as an in-house lawyer at a publicly traded company and in private practice at a large law firm, which should include: leading and managing transactions; drafting and negotiating agreements; SEC advising and reporting.
- Experience managing a wide variety of public company securities, disclosure and corporate matters.
- Experience with corporate governance, including the preparation of corporate policies, board of directors minutes and consents and annual shareholder meeting materials.
- Qualified to practice law in Minnesota or ability to be admitted in 6 months.
- Experience with entity management.
- Experience with leading teams.
- Strong communication and relationship skills involving different cultures and all levels of an organization.
- Ability to build and foster strong business relationships and provide seamless collaboration across functional and matrix environment.
- Exceptional writing and presentation skills.
- Ability to work effectively with all levels of leadership in a fast-paced environment.
- Excellent analytical and strategic decision-making and problem-solving skills.
- Ability to provide sound legal advice to implement business goals pragmatically.
- Self-discipline, results-orientation, resilient, and ability to learn quickly.
- Ability to manage multiple projects simultaneously and work both independently and as a highly effective member of a team.
