What Corporate/Commercial Transactions Attorney contributes to Cardinal Health
Corporate/Transactions (Business Support) is responsible for providing legal advice, counsel and related services to Cardinal Health’s domestic and international business units in support of customer, vendor, supplier, and strategic relationships. The legal team drafts and negotiates contracts, participates in and provides input on business strategy and legal risks, and otherwise acts as primary day-to-day legal contact for business unit clients in a fast-paced environment.
Responsibilities
- Draft, review and negotiate agreements supporting the company’s indirect procurement organization, including vendor agreements, purchase agreements, service agreements, non-disclosure agreements, IT agreements, transportation agreements, consulting agreements, professional services agreements and other commercial agreements.
- Provide ad-hoc legal counsel to indirect procurement team, including interpretation and analysis of existing agreements.
- Identify legal and compliance issues and business risks and escalate appropriately.
- Manage the intake of contracts for indirect procurement organization, reviewing contracts as necessary and assigning contract review to outside outsourcing vendors and outside counsel.
- Manage offshore legal service provider.
- Draft, review and negotiate agreements supporting the company’s transportation organization, including vendor agreements, service agreements, non-disclosure agreements and other commercial agreements.
- Manage and act as liaison with outside counsel for certain IT and transportation matters.
- Provide training on legal issues relating to indirect procurement, IT contracting, and transportation matters.
- Perform other tasks as assigned by more senior attorneys within the Procurement legal team.
- Ability to work independently with minimal supervision, while acting with an appropriate sense of urgency in a fast-paced environment.
- Ability to research, analyze, problem-solve and project manage.
- Identify and collaborate with subject matter experts from other teams, especially Litigation, Regulatory Counsel and Compliance. Proactively identify opportunities for process improvements and efficiencies, including enhancements or adjustments to contract templates based on changes in legal requirements or business strategies.
- Outstanding interpersonal skills, including the ability to effectively communicate and engender trust and confidence with personnel at many different levels of the company.
- Acute attention to detail.
- Work under the general supervision of senior attorneys and exercise sound judgment as to matters that require attention of Legal and Department senior leadership.
Qualifications
- Juris Doctorate degree with a record of high academic achievement in the undergraduate level and in law school.
- License to practice law in Ohio or active bar license in another state.
- Candidates with at least 5 years of transactional experience in a nationally recognized law firm, including at least 3 years of indirect contracting experience with a focus on IT agreements.
- Knowledge of healthcare law is preferred.
- Excellent communication skills, both written and oral.
- Ability to work independently with minimal supervision, while acting with an appropriate sense of urgency in a fast-paced environment.
- Ability to work in a fast-paced, high volume environment a must.

- Identify opportunities to improve efficiency while providing high services levels.
- May act as a mentor to less experienced colleagues.
Anticipated salary range: $117,000 - $165,500
