Responsibilities:
- Serve as an attorney within the Office of the General Counsel, providing support across ETS business units for a range of products and services serving the educational and assessment marketplace.
- Provide legal advice, RFP review, contract drafting, and review for domestic and international contracts.
- Provide support to all levels of management over a range of legal issues that may arise throughout the company, including transactional work, intellectual property issues, privacy issues, and compliance issues.
- Manage multiple complex projects with limited supervision.
- Advise on a broad range of complex and strategic legal and business matters, including intellectual property (copyright, trademarks, patents, trade secrets), international distribution, commercial transactions, government contracts, tax matters, mergers and acquisitions, marketing, export control and compliance, data protection, privacy, matters applicable to the testing industry (administration, scoring and reporting scores), and other applicable regulatory matters.
- Monitor legal developments and trends and provide training to business units on relevant legal issues.
- Draft and prepare a range of legal documents, including non-disclosure agreements, licenses, revenue and supply contracts, co-development agreements, corporate policies, etc.
- Work directly with business leaders and business teams to assist with various projects to advise them on relationships with clients, partners, and vendors.
- Review, advise, and oversee work product of other units within the Office of the General Counsel.
- Act as the principal point of contact with external counsel and compliance agencies regarding business complaints and issues.
- Manage external counsel in litigation, contract drafting, and negotiations in which ETS is directly involved.
- Adhere to ethical standards and comply with the laws and regulations applicable to the job function.
Required Experience:
Education, Certifications, or Special Licenses:
- Juris Doctor degree is required.
- Membership in one or more state bars and willingness to become a member of the New Jersey Bar is required.
- A minimum of 5 years in a law firm or in-house legal department experience is required.
- Contracts and intellectual property law background is preferred.
General Required Skills:
- Ability to work independently with minimal supervision.
- Solid legal and business judgment, initiative, and organizational skills with the ability to prioritize projects.
- Ability to form strong internal business relationships with demonstrated ability to work effectively within a team environment; excellent oral and written communication skills.
- Provide sound legal advice in a timely manner on a range of business and compliance issues.
- Able to develop appropriate agreements that reflect the goals of the business unit and mitigate risk.
- Recommend and assist in the implementation of business strategy as needed.
- End-to-End project management and time management skills with a proven ability to meet deadlines.
- Ability to prioritize tasks and delegate when appropriate.
- Thorough understanding of domestic and international legal contracts, business literacy, and financial literacy.
- Independent client relations experience with demonstrated ability to manage meeting schedules and facilitation.
