What is the General Counsel at Spotless Brands?
The General Counsel will serve as the lead attorney for Spotless Brands with responsibility for providing legal advice and strategies to the Company’s senior management team. Overall responsibilities include providing guidance and counsel to the Spotless executive team on matters involving compliance, contracts, labor law, debt and equity securities, M&A, and real estate, as well as reviewing and writing internal and external legal contracts, negotiating transactions, and managing contracts to ensure legal compliance. The successful candidate will possess at least 5-7 years of experience in corporate transactions and proven general counsel experience in the public sector, with an emphasis on public and private M&A and real estate, including private equity transactions. Solid experience with reviewing and negotiating acquisition agreements and related documentation utilized in complex M&A and private equity transactions.
What do you get to do?
- Provide strategic, creative, and effective legal and business advice to support the Company’s overall business priorities with a focus on corporate transactions such as mergers, acquisitions and other real estate matters.
- Identify and resolve or mitigate risk and critical legal and business issues arising from transactions.
- Develop, maintain, and improve company real estate agreement standards and template provisions and forms.
- Provide counsel and guidance to support the business on a wide range of overall legal issues.
- Collaborate with internal stakeholders in finance, development, construction, HR, and operations and manage inter-department input into legal documents.
- Coordinate legal compliance and matters professionally with CEO, HR, and other Senior Executive Team and outside Counsel and partners pertinent to enforce the Company's procedures and policies.
- Provides accurate, relevant, and timely advice to members of staff on a variety of legal topics and matters that relate to our business sector.
- Provide effective guidance to ensure legal compliance and mitigate risk exposure, taking into consideration both financial and reputational business impacts.
- Collaborates with the Policy Committee to develop and maintain policies, practices, and procedures that will have a significant impact on the Company’s compliance and governance.
- Oversee the preparation and negotiation of legal documents, contracts and agreements.
- Oversees and collaborates with outside counsel to represent the Company in contract settlements, negotiations, and litigation.
- Provide training to company employees in relation to legal and risk issues.
- Gather information in a fast-paced business environment, understanding business needs and goals, and working with intensity toward effective, practical, and timely legal solutions.
- Keep informed of new laws, regulations, and industry trends affecting the organization and assist with the development of policies.
What will you bring?
- Law degree from an accredited United States law school and a member in good standing with a State Bar.
- 10+ years of experience with a major law firm or in-house legal department.
- 5-10 years of experience with mergers, acquisitions, and divestitures.
- 5-10 years of experience working with public companies.
- 5-10 years of experience working with private companies.
- 10-15 years of experience as a General Counsel for a large organization.
- Ability to create legal contracts, briefs, and other legal documentation.
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with all levels of the organization.
- An excellent written and verbal communicator, including the ability to translate sophisticated legal issues into laypersons terms and draft employee-facing communications.
- Exceptional negotiation skills and the ability to interpret and analyze complex legal documents.
- Proven sound judgement, ethics and integrity, discernment, and decision-making capability in dealing with complex legal issues.
