Purpose:
As Associate General Counsel, this individual will be responsible for supporting the General Counsel role and managing legal, compliance and system matters as assigned, including providing legal advice to the Bank’s internal clients, reviewing and approving certain communications and/or presentations, and drafting and reviewing SEC related materials relating to Board or governance matters. In addition, this individual will serve as the Corporate Secretary. As Corporate Secretary, this individual will be responsible for working with Department staff to maintain the Bank’s official corporate documents, serve as a contact for communications with the Board of Directors, and together with the General Counsel, provide guidance on board and corporate governance related matters for the Bank, including the Board, its committees, director elections, Bank management committees, and governance matters generally.

Specific Responsibilities:
Advises management and renders opinions on legal matters affecting the Bank's operations and drafts or reviews contracts of various types and/or Bank communications as assigned.
Assists with FHLBank System specific working group initiatives as assigned.
Other legal projects and duties as assigned.
Maintains the Bank’s official corporate records.
Serves as a point for communications with the Board.
Works with staff and Board to plan Board and Committee agendas and oversees the production of timely, accurate, and relevant data and analyses for distribution to the Board.
Assists in planning the Executive Management Committee agenda and oversees the production of timely, accurate, and relevant data and analyses for distribution to the EMC.
Advises management and bank staff on governance related matters (e.g., policies, procedures, charter).
Attends and takes minutes during meetings of the Board and Board committees, as well as for the EMC and other Bank management committees as needed and/or assigned.
Oversees training for both Board members and staff relating to compliance with certain FHFA requirements, including SDR 2008-05.
Manages Board and governance related SEC filing requirements and coordinates the same with Financial Reporting.
Manages the production of corporate governance records (when applicable) for compliance with legal requirements, including any regulatory examination, compliance or audit requirements and other due diligence activities, including the mitigation of certain findings.
Serves as the point person for the Board’s annual director election process as well as the vacancy election process, ensuring compliance with Federal Housing Finance Agency regulations.

Position Requirements:
JD degree and admitted to practice law in Indiana.
Knowledge of corporate governance practices, banking law, and general corporate law. Familiarity with online document portals such as BoardVantage a plus.
Minimum of 6 to 8 years corporate legal experience, in a law firm or in-house.
Strong verbal and written communication skills, ability to communicate and interact effectively with managers, peers, boards of directors and outside consultants with tact and succinctness.
Ability to work independently and exhibit initiative.
Ability to work full time and overtime as necessary.
Must not have been convicted of any criminal or civil charge that would suggest a risk to Bank security.
Ability to uphold and model the Bank’s Guiding Principles.
