General Counsel

Position Responsibilities
The General Counsel plays a crucial role in supporting the sales and operations teams as well as building and maintaining relationships with Silco customers. The primary responsibility for this position is to negotiate terms and conditions for customer contracts, including both service and installation/construction contracts, as well as occasional vendor contracts. Being in the higher risk life safety industry, negotiating limitations of liability and other terms needed to protect the company is essential. In addition, the General Counsel will support the President with legal documents related to acquisitions, including modifying acquisition document templates and working with outside counsel as needed to address unique deal circumstances.
The specific responsibilities include:
- Work closely with sales teams, operations teams, and customers to negotiate 99% of contracts within our standard legal requirements.
- Review and approve Customer Credit for installation/construction contracts, including negotiation of custom payment terms when necessary.
- Ensure that customers receive all documentation required (e.g. New Vendor Packets, COI with necessary endorsements, W-9, etc.). Respond to customer requests for any other documentation required outside of contracts.
- Educate new salespersons on the Contracts Process.
- Assist salespeople with job-specific Customer Portals.
- Assist AR with collection on Installation/Construction invoices and lien waiver preparation.
- Work with the President to prepare and modify acquisition agreements and related documents.
- Prepare Warranty Documents upon completion of jobs.
- Review Bid Documents.
- Secure Payment/Performance Bonds as required.
- Work with outside vendor to preserve Mechanics’ Lien Rights on jobs when necessary.
How this role will be measured in terms of KPI’s
- Acknowledge all contracts requests within 4 business hours.
- Return 90% of contracts within 3 business days (modified or signed). If unable to meet the 3 business day goal, communicate timeline to internal and external customers, with a mentality to Underpromise and Overdeliver.
- Internal Customer (sales and operations personnel) Satisfaction Scores regarding the quality and level of support they receive.
- External Customer Satisfaction Scores.

- Build relationships with the company's outside attorneys for support when needed.
Prior Experience Requirements
- 5+ years of related experience in legal document drafting and contract negotiations.
- Strong understanding of the common legal aspects of contracts including construction law, insurance, limitations of liability, indemnification, payment and liens, etc.
Work Environment and Physical Requirements

Travel
During the orientation period and on special occasions, travel may be required to other Silco facilities.
