A law firm is seeking a Mid-Level Investment Funds Associate Attorney to join their Charlotte, NC office. The ideal candidate will have 4-6 years of significant experience in private equity fund formation and related matters. The candidate should have experience assisting private equity fund sponsors with fund formation, including the preparation and negotiation of fund documentation, and a working knowledge of relevant securities regulations. Experience in private equity secondary transactions and GP-led restructurings is a plus.
Duties and Responsibilities:
- Assist private equity fund sponsors with fund formation matters, including preparing and negotiating private placement memoranda, partnership agreements, and related ancillary documents.
- Review fund documentation on behalf of institutional investors and negotiate fund terms.
- Structure and draft governing documents for private equity fund management companies and general partners.
- Provide legal advice and support on various aspects of private equity fund operations and management.
- Stay updated on relevant securities rules and regulations, including the Investment Advisers Act.
- Collaborate with clients to address and resolve legal issues related to fund formation and operation.
- Assist with private equity secondary transactions and GP-led restructurings as needed.
- Ensure compliance with legal and regulatory requirements in fund formation and management.
- Manage multiple projects and deadlines effectively.
Requirements:
- 4-6 years of significant experience in private equity fund formation and related matters.
- Experience at a large law firm or in-house setting preferred, but special circumstances may be considered.
- Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
- Experience with private equity secondary transactions and GP-led restructurings is a plus.
- Strong analytical, drafting, and negotiation skills.
- Ability to work independently and as part of a team.
Education and Certifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admitted to the State Bar and in good standing.
