Job Purpose:
The Corporate Counsel reports directly to the General Counsel and is responsible for negotiating, drafting, and reviewing various contracts and service agreements; making recommendations for any changes or additions to contracts, forms, and legal documents; and determining when legal actions are necessary.
Essential Functions:
- Assist in ensuring that the company is operating in compliance with state and federal laws.
- Advise all departments on legal norms, restrictions, and policies.
- Negotiate, review, and manage all legal aspects of project acquisition and development.
- Negotiate and draft various contracts and service agreements (i.e. finance agreements, acquisition agreements, and joint venture agreements).
- Review and analyze all contracts, forms, and legal documents.
- Oversee litigation when it arises.
- Make recommendations for changes or additions to contracts, forms, and legal documents.
- Develop complex business contracts.
- Determine when legal actions are necessary.
- Work closely with each division of the company to fulfill all reasonable legal needs.
- Respond to demand and claim letters from outside advising attorneys.
- Other duties as assigned.
Organizational Relationships:
Has frequent contact and communicates continuously with visitors, customers, employees, outside counsel, agents, and vendors.
Qualifications:
- Bachelor’s degree from an accredited university.
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law by state licensing board.
- 5+ years of experience in contract negotiation and review/drafting of complex agreements and contracts, including real estate.
- 5+ years of experience with transactional issues and legalities along with real estate law.
- Previous legal experience in a law firm or within an in-house legal department; prior experience as a Corporate Counsel is desired.
- Proven ability to understand complex business and technical concepts and to make good judgment when faced with trade-offs.
- Demonstrated success in establishing, managing, and maintaining effective working relationships at the senior management level, both internal and external to the organization.
- Negotiation skills to influence strategic issues requiring coordination across functional lines or influencing senior leaders regarding matters of significance to the organization.
- Valid state driver’s license with current auto insurance based on state minimal insurance coverage standards and reliable automotive transportation.
- Previous experience in the residential real estate industry is desired.
- Ability to travel locally and domestically as needed.

- Ability to analyze complex business and legal issues to provide legal services and advice.
- Ability to quickly assess information, anticipate issues, and make recommendations to Senior Management.
- Strong organizational skills with a high level of accuracy and attention to detail.

- Ability to interact with employees, vendors, visitors, and candidates in a professional and courteous manner.

- Ability to effectively manage tasks with minimal supervision.
- Must be diligent and persistent in follow-up and completion.
- Capable of multi-tasking and meeting tight deadlines.
- Able to function in a fast-paced, high-stress environment.
- Strong working knowledge of Windows/Mac operating systems.
- Requires proficiency in Microsoft Office applications.
- Ability to type at a net rate of 35 wpm using a computer keyboard.
- Must display high moral ethics and demonstrate the capacity to lead through strategic thinking and problem-solving/analysis.
- Ability to understand, articulate, and represent the company’s “coolture.”
- Flexible and adaptable to support internal organizational needs and demonstrate professional demeanor.
Physical Demands & Work Environment:
The Corporate Counsel must be able to bend, stoop, stand, drive, and sit for various lengths of time. They must be able to lift and carry items up to 20 lbs. This is primarily a sedentary office classification and employees work in an office with moderate noise levels, controlled temperature conditions, and no direct exposure to hazardous physical substances. However, a portion of the time the employee will be on the road driving in various weather conditions.
Cognitive Demands:
The Corporate Counsel must be able to multi-task various projects at once and work well under pressure and tight deadlines. They must display high moral ethics and demonstrate the capacity to lead through strategic thinking and problem-solving/analysis.
