OVERVIEW
Cedar Pine is seeking an experienced and proactive Associate Legal Counsel. The ideal candidate will play a key role in providing strategic legal advice and guidance on a wide range of legal and compliance matters to support business objectives and the strategic direction of the family office in alignment with priorities. The candidate will possess experience in various legal areas, including securities law, regulatory compliance, intellectual property, employment law, and general corporate matters. This role will be instrumental in ensuring company-wide compliance with laws, regulations, and internal policies. This role will also be responsible for enhancing and assisting with oversight of the compliance program, conducting audits, and providing guidance to promote an ethical and compliant culture. This position reports directly to the General Counsel and offers an excellent opportunity to contribute to a dynamic, growing, and innovative organization.
Cedar Pine has a hybrid in-office work policy, which requires three days per week on-site in Northbrook.
RESPONSIBILITIES
- Conduct in-depth analysis, due diligence, and assessment of potential private investments.
- Manage the end-to-end deal process, including negotiations and deal structuring including communicating with outside counsel and counterparties and co-investors.
- Collaborate with cross-functional teams and external advisors to ensure smooth execution of transactions.
- Draft, review, and negotiate investment-related documents, including non-disclosure agreements, partnership agreements, limited liability company agreements, offering memoranda, subscription agreements, investor side letters and other legal documents.
- Conduct risk assessments with business units to properly align policies with current processes.
- Create, modify, update, and implement policies, procedures, and guidelines to maintain a current and effective compliance program.
- Communicate with other departments and departmental heads to ensure that all business operations align with applicable strategic priorities, policies, procedures, and regulatory requirements.
- Proactively review business activities to identify potential regulatory, compliance, and reputational risks.
- Lead training and communications to promote a robust culture of compliance.
- Leverage and manage existing technology solutions to fulfill compliance responsibilities.
- Analyze internal business systems to ensure compliance with industry regulations and ethical standards.
- Develop and oversee control systems to appropriately implement policies and procedures and comply with legal requirements.
- Assist with general legal issues, including intellectual property, estates and trusts, and human resources/employment.
- Manage relationships with external legal counsel and advisors to support the firm's objectives.
- Advise on relevant laws, rules, and regulations applicable to family office structure and operations.
- Address ad-hoc legal questions from, and collaborating with, internal teams, including investment team, finance, operations, and compliance, to address legal considerations in a timely and cohesive manner.
- Maintain accurate and organized records of investment formation documents and other legal documents/materials.
QUALIFICATIONS
- Bachelor’s degree in business or related field.
- Juris Doctor (J.D.) degree from an accredited law school and active bar membership, preferably Illinois.
- 4+ years of legal experience in corporate, private equity and family offices, ideally gained within a large law firm setting.
- In-depth knowledge of all federal securities laws, with demonstrated strength in the Investment Advisers Act of 1940, and applicable industry standards and regulations, specifically as they relate to family offices.
- Strong written, oral and presentation skills, including experience simplifying complex technical issues for executives.
- Strong research, drafting and negotiation skills, with a keen attention to detail.
- Demonstrated ability to manage multiple projects simultaneously and meet deadlines.
- Ability to work independently and collaboratively in a fast-paced environment and to critically understand and assess complex issues and conceptualize and articulate solutions.
- Excellent interpersonal skills with ability to influence and negotiate with stakeholders.
- Attention to detail and commitment to quality.
- Proficiency in Microsoft Applications (Word, Excel, PowerPoint, etc.)
