Job Overview:
- Become an integral part of the cross-disciplinary group.
- Primarily serve Life Sciences clients in all facets of their corporate needs.
- Responsibilities include general corporate services, SEC compliance and reporting, sell and buy-side transactions, financings, corporate governance, licensing/strategic partnerships, and IPOs.
Duties:
- Provide legal counsel and representation to Life Sciences clients.
- Draft and negotiate various corporate agreements, including licensing, joint venture, and strategic partnership agreements.
- Advise clients on SEC compliance and reporting requirements.
- Assist in the preparation and filing of IPOs.
- Conduct due diligence for mergers, acquisitions, and other transactions.
- Handle corporate governance matters for clients.
- Collaborate with attorneys from other practice areas to provide comprehensive legal solutions.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the California State Bar in good standing.
- Experience practicing corporate law, focusing on Life Sciences.
- Proven track record of handling complex corporate transactions.
- Strong understanding of SEC regulations and compliance requirements.
- Excellent communication and negotiation skills.
- Ability to work effectively in a fast-paced, dynamic environment.
- Prior experience in a law firm setting is preferred.
