Supports VP Strategic Finance in evaluation, valuation and due diligence of M&A/Partnership Opportunities.
POSITION PURPOSE
Supports the VP, Strategic Finance in discernment, valuation and due diligence of M&A/Partnership Opportunities. Performs detailed financial analysis and serves as a key contributor, liaison and advisor to executives and various transaction teams including those at Trinity System Office and Regional Health Ministry (RHM) transaction teams. Ensures plans are financially sound, support strong financial stewardship and reflect Trinity Health policies and practices. Contributes to finance process for transactions from the pre-LOI stage through deal close.
ESSENTIAL FUNCTIONS
Knows, understands, incorporates, and demonstrates the mission, vision, and values of Trinity Health in leadership behaviors, practices, and decisions.
Documents financial due diligence reviews on M&A/Partnership opportunities and reverse due diligence requests for divestitures. Coordinates consultant's work related to due diligence, as well as collection and review of financial information provided to external parties such as Attorney General, legal counsel, Federal Trade Commission, etc.
Serves as a key contributor in fair market business valuation analysis related to M&A/Partnership opportunities.
Key preparer of detailed financial analysis commonly demonstrated through single or three-statement financial models, return on investment (ROI) modeling, accretion/dilution analyses, and other complex analytical reviews.
Helps identify financial exposures and opportunities in M&A activity.
Partners with legal and business development to analyze financial terms in negotiations, presentations, letters of intent and agreements.
Supports VP in problem-solving and analytics development for the complex financial aspects of M&A opportunities. Provides guidance for RHM Finance teams on transactions in current and new markets
Contributes to presentations and written summaries for executive management for decision-making purposes.
Keep apprised of and maintains currency on fair market valuation techniques, trends and environmental changes.
Provides consultation, analysis, and project management for special projects as directed by senior management, including significant and complex projects.
Maintains a working knowledge of applicable Federal, State and local laws and regulations, Trinity Health Corporate Integrity Program, Code of Ethics, as well as other policies and procedures in order to ensure adherence in a manner that reflects honest, ethical and professional behavior.
Participates in the identification, development, and analysis of System wide programs and policies consistent with the strategic direction of Trinity Health.
MINIMUM QUALIFICATIONS
A knowledge of health care finance and financial analysis normally obtained through completion of a Bachelor’s degree in finance or related field and a minimum of three (3) years of progressively responsible experience in a multi-site complex organization or an equivalent combination of education and experience. CVA, CFA, or MBA highly preferred. Healthcare experience required.
Knowledge and experience in joint ventures, partnerships, mergers, divestitures and acquisitions.
Knowledge on fair market business valuation techniques, asset appraisals, three-statement financial modeling and ROI analysis highly preferred.
Must possess strong analytical and business management skills, including advanced knowledge in Microsoft Office applications.
Strong project management exposure and skills with the ability to achieve favorable results.
Must possess strong conceptual and analytical skills, as well as strong written and verbal communication skills.
Must be comfortable operating in a collaborative, shared leadership environment.
