Goodwyn Mills Cawood (GMC) is one of the largest privately held architecture and engineering firms in the Southeast, with offices located throughout Alabama, Louisiana, Florida, Georgia, South Carolina, and Tennessee.
GMC has an opening for an Associate General Counsel to play a crucial role in supporting GMC by ensuring the timely and accurate execution of contracts. The ideal candidate will be responsible for reviewing, drafting, negotiating, and managing contracts related to various projects.
Essential functions and responsibilities include:
- Contract Review and Analysis:
- Carefully review and analyze contracts, subcontracts, purchase orders, and other legal documents.
- Identify potential risks and issues and provide recommendations for addressing them.
- Ensure compliance with applicable laws, regulations, and company policies.
- Contract Drafting and Negotiation:
- Draft and negotiate contracts, including but not limited to:
- Professional services agreements, Consultant agreements, Dispute resolution agreements.
- Collaborate with project managers, attorneys, and other stakeholders to ensure that contracts accurately reflect the project scope and terms.
- Contract Management:
- Track and manage contract lifecycle, including:
- Contract execution, Amendment management, and Dispute resolution.
- Provide timely updates and reports to management on contract status and performance.
- Risk Mitigation:
- Identify and assess potential risks associated with contracts.
- Develop and implement strategies to mitigate risks and protect the firm's interests.
- Compliance:
- Ensure compliance with all relevant laws, regulations, and industry standards.
- Maintain up-to-date knowledge of contract law and industry best practices.
Minimum Qualifications
- Juris Doctorate.
- Minimum of 3 years of experience in the AEC industry.
- Strong understanding of contract law and principles.
- Excellent written and verbal communication skills.
- Ability to negotiate effectively and build strong relationships with clients, vendors, and internal stakeholders.
- Strong attention to detail and organizational skills.
- Proficiency in contract management software and tools.
Preferred Qualifications
- Certification in contract management (e.g., CPCM, CCM).
- Knowledge of risk management and dispute resolution processes.
