BronxWorks seeks an admitted attorney with at least five years of legal experience and two years of relevant legal experience such as in-house or government practice or practice in employment, corporate, real estate, regulatory or insurance law at a firm, to serve as Associate General Counsel. The Associate General Counsel will report to the General Counsel and will assist with a variety of meaningful tasks inherent to the in-house legal department of an award-winning non-profit health and human services agency, also serving as the agency’s Director of Compliance. The position currently operates on a hybrid model with a minimum of 2 days from our Bronx, NY office.
RESPONSIBILITIES
Contracts & other legal transactions:
- Review, revise and draft a wide variety of contracts and commercial leases under the supervision of the General Counsel.
- Develop, communicate and enforce systems and policies to increase efficiency and controls in the contracting process.
- Prepare and present regular trainings to relevant agency staff on contracting policies & contract approval process with vendors and subcontractors.
- Develop, organize and maintain databases related to legal, compliance and risk management matters, relating to lawsuits, leases, contracts, certificates of insurance, and contractual requirements.
- Work with outside counsel to oversee and conduct defense against litigation and claims, including by notifying carrier, conducting interviews, reviewing documents, assembling discovery responses, drafting legal pleadings, participating in depositions and negotiations, and ensuring timely response to all applicable deadlines.
- Review and respond to subpoenas from law enforcement and other city agencies.
- Conduct legal research regarding relevant legal topics as needed, such as in the areas of employment law, contracts, leases, and intellectual property, as well as regarding a wide variety of compliance issues, ranging from NYC building code regulations to Medicaid and HIPAA.
Compliance & risk management:
- Assist in the development, drafting, maintenance, and communication of agency policies, in the areas of human resources/employment laws, compliance, security, and workplace safety.
- Responsible for developing expertise and advising management as needed on specific compliance topics (e.g., Children & Youth clearances, Part 900 Regulations, social work licensure, medication management, HIPAA, Medicaid compliance, contractual data privacy requirements, etc.)
- Drafting and maintain all compliance-related policies and procedures.
- Oversee certain risk management functions, including helping to establish insurance criteria, policies and procedures regarding vendors and consultants and day-to-day management of the certificate of insurance program.
- Serve as point of contact for insurance company risk consultants & other external parties, coordinating annual visits, serving as project manager to ensure recommendations are implemented; and preparing timely reports to insurance companies and other external parties on status of implementation of recommendations.
- Lead Enterprise Risk Management program, including leading the agency’s Annual Risk Overview and serving as project manager to ensure each department completes risk mitigation plans.
- Responsible for training all personnel and Board of Directors on risk and compliance-related policies/procedures and topics.
- Supervise the Legal Compliance Specialist who will assist the legal team with all compliance and risk management issues.
QUALIFICATIONS
- Must have graduated from an accredited law school and be a member in good standing of the New York State Bar.
- At least 5 years of legal experience, with a minimum of two years of relevant legal experience in employment, corporate, real estate, regulatory or insurance law, in government, in-house or at a law firm.
- Excellent oral and written communication skills.
- Must be highly attentive to detail, organized, and highly self-motivated, with ability to prioritize tasks and work efficiently and independently.
- Demonstrated ability to complete activities/projects in a timely manner, on or before scheduled deadlines, with minimal errors.
- Strong interpersonal skills.
- Proficiency in Microsoft Office suite and other standard business technology.
ADDITIONAL DETAILS
The position currently works 2-3 days from our Bronx, NY office and the rest from home each week. There is a possibility to continue partial remote work post-pandemic.
PHYSICAL REQUIREMENTS
- Ability to use a computer for prolonged periods.
- Ability to occasionally lift and/or move up to 10 pounds.
- Ability to stand, walk, or sit for long periods of time.
- Ability to climb five flights of stairs, if required to conduct home visits and/or fieldwork.
- Ability to bend and retrieve objects and/or documents.
- Ability to travel in the boroughs of New York City and its adjacent counties via public transportation.
- Ability to travel for a minimum of 1 mile within a reasonable amount of time and in all types of weather, including inclement weather, if required to conduct home visits and/or field work.
