DescriptionOur client, a leading company providing distribution services to the manufacturing sector, is seeking an experienced Associate General Counsel to join their dynamic legal team. This role offers a unique opportunity to work in a diverse business environment, encompassing distribution, warehousing, manufacturing, and licensing.
Key Responsibilities - Draft, review, and negotiate a wide variety of corporate contracts, with a focus on manufacturing, distribution, and logistics.
- Review contracts related to buying and selling products, particularly for products manufactured overseas.
- Manage and oversee licensing agreements.
- Provide legal support on corporate governance, compliance, and risk management.
- Handle lease agreements for warehouses and facilities.
- Assist with HR and employment law matters, including familiarity with California labor laws, especially regarding termination.
- Support bank financing arrangements and negotiations, including the ability to read and interpret loan documents.
- Maintain current knowledge of relevant legislative changes.
- Coordinate with external legal counsel as needed.
Requirements - Juris Doctor (JD) from an accredited law school.
- Active membership in good standing with the relevant State Bar.
- Minimum 7+ years of relevant experience in a law firm or corporate legal department.
- Strong background in contract law, lease agreements, and related business practices.
- Experience in manufacturing and distribution industries preferred.
- Familiarity with licensing agreements and intellectual property law.
- Knowledge of California labor laws.
- Exceptional drafting, communication, and negotiation skills.
- Ability to handle multiple tasks efficiently in a fast-paced environment.
