ABOUT THE ROLE
We are seeking an attorney with extensive experience in the development, financing, and operation of large-scale energy infrastructure projects as we continue executing on our power-first thesis. This position is anticipated to report directly to the Chief Legal Officer and work closely with our Corporate Development and Energy teams. The ideal candidate will be self-motivated, organized, strategic and a team player. This position is located in our corporate headquarters in Miami, Florida – remote candidates are not being considered at this time.
Some of the key responsibilities you should expect are the following:
- Oversee and manage the legal components of energy infrastructure projects, including acquisitions, development, and operations.
- Draft, review, and negotiate a wide variety of contracts related to these projects, including power purchase agreements, interconnection agreements, transmission agreements, EPC agreements, and other contracts related to project development.
- Lead all legal efforts related to the financing of energy infrastructure projects, including project financings and corporate financings. Play a lead role in drafting, negotiating, and providing transactional assistance to internal clients on such financings.
- Ensure adherence to relevant energy regulations, including federal, state, and local laws.
- Provide guidance on obtaining regulatory approvals, permits, and maintaining compliance with industry standards.
- Work closely with internal stakeholders, including corporate development, operations, asset management, and finance teams, to align legal strategies with business goals and project timelines.
- Manage and oversee external counsel on energy infrastructure projects and financing transactions.
- Other duties as assigned.
ABOUT YOU
- At least 6 years of experience as an attorney with a strong focus on energy infrastructure development projects, including experience with power purchase agreements and financing transactions. Experience negotiating power purchase agreements in ERCOT is highly desirable.
- Juris Doctor (JD) degree from a reputable law school and active membership in at least one state bar.
- Comprehensive knowledge of energy infrastructure and project financing.
- Proven ability to navigate complex regulatory environments and financing structures.
- Demonstrated ability to negotiate complex contracts effectively.
- Extensive experience conducting due diligence for energy infrastructure projects.
- Exceptional written and oral communication skills, with the ability to provide clear and practical legal advice.
- Ability to collaborate effectively with internal teams and external stakeholders.
