Position Overview:
This role is for an in-house Director, Legal Counsel position. The incumbent should be licensed to practice law in one or more states in which the company or its subsidiaries operate. The successful candidate will have at least 5+ years of relevant experience and will focus on general corporate matters and initiatives, human resource matters, legal compliance, litigation management, vendor contracting, and provide contract support for various lines of business as needed. This position requires a proactive and detail-oriented professional with excellent communication and analytical skills.
Essential Job Functions:
- Provide legal support on employment-related issues, including drafting and reviewing employment contracts, handling disputes, advising on compliance with labor laws, and assisting in employee relations matters.
- Ensure the organization complies with all relevant laws and regulations, including monitoring changes in legislation, advising on compliance requirements, and implementing necessary changes to policies and procedures.
- Oversee litigation activities, manage litigation logs, collaborate with outside counsel, and develop strategies for resolving legal disputes efficiently.
- Draft, review, negotiate, and manage customer and vendor contracts, ensuring terms and conditions are favorable and compliant with company policies and legal standards.
- Provide legal support for various lines of business by drafting, reviewing, and negotiating contracts related to staffing, consulting and other professional services and other business operations as needed.
- Offer timely and accurate legal advice to senior management and business units on a range of legal matters, including risk mitigation and strategic decision-making.
- Assist in the creation and implementation of internal policies and procedures to ensure best practices and legal compliance.
- Conduct training sessions for employees on legal topics, compliance, and company policies to foster a culture of awareness and adherence to legal standards.
- Provide timely advice and counsel to senior management by advising the business on laws, regulations, and company policies.
- Assist management with researching and developing planning for new corporate initiatives.
- Work collaboratively from project initiation with internal and external counsel, consultants, and business unit staff on project assignments.
- Follow effective processes to ensure that business and corporate transactions are conducted in a manner that accomplishes the strategic goals of the company while mitigating potential risk exposure.
- Assist with the management of the company’s legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices, as needed.
- Assist in due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed.
- Collaborate with and manage outside counsel.
- Such other activities as may be assigned by your manager.
Qualifications/Requirements:
- JD from an accredited law school.
- Membership in good standing of a state bar association as an attorney qualified to practice law in that state.
- 5+ years legal experience as in-house counsel or related law firm practice.
- Strong experience drafting and negotiating commercial contracts and corporate transactions.
- Strong work ethic, superior organizational skills, and ability to handle multiple tasks in a fast-paced environment under time constraints and work well independently and as a collaborative team member.
- Knowledge of and proficiency with LexisNexis and Microsoft Office applications.
- Excellent judgment and business acumen.
- Strong attention to detail and ability to problem-solve.
- Ability to relate and work well with people of many cultures, disciplines, and levels of experience.
- Strong analytical review and research skills.
- Willingness to occasionally travel, as needed.

- Optimistic attitude that thrives in a dynamic and complex working environment.
Special Requirements:
- The employee may be required to report to a different local office as a normal, contemplated, and mandated incident of their employment.
Working Conditions:
Office environment with frequent computer, mouse, keyboard use. Alternating between sitting or standing as needed. Hearing, talking, reaching, grasping.
