General Summary
Assumes increasing responsibility for providing legal guidance and support for various System activities and issues, such as payor contracting, compliance with health laws and regulations, business transactions, medical malpractice, corporate governance, HIPAA and confidentiality, contract negotiation/drafting/review, real estate, tax-exemption, human resources/civil rights, bioethics, patient care issues, hospital medical staff matters, graduate medical education and research, antitrust, and insurance. Assists in overseeing outside counsel. Participates in monitoring legislative and regulatory developments and providing education to board, management, physicians and other staff.
Duties and Responsibilities
Essential Functions:
- Provides legal guidance and support for various System activities and issues.
- Reviews and/or drafts proposed contracts, assists in the negotiation of contracts, and provides legal guidance to ensure that contracts comply with legal requirements.
- Provides legal advice with respect to corporate governance and administration, and assists in preparing or reviewing bylaws, minutes, resolutions, policies, procedures and forms.
- Provides legal advice with respect to administration and prepares resolutions and forms.
- Provides support for the System's risk management activities by anticipating and guarding against legal risks to the System.
- Participates in monitoring legal developments, including proposed and existing legislation and regulations, and provides education to board, management, physicians and other staff.
- Assists in handling complex legal matters, business transactions, or other projects as assigned.
- Assists in overseeing outside counsel, and other System consultants.

Qualifications
Minimum Education:
- Doctor of Law (JD) Required
Work Experience:
- 5 years Healthcare law and/or in-house counsel experience required
Licenses:
- Licensed Attorney within 180 days Required

- Excellent written and verbal communication and listening skills.
