Job Description
MIM’s Law Department is looking for an experienced asset management attorney to support all facets of MIM’s investment management business.
MIM provides active equity and fixed income investment management services to clients located in the US and outside the US. MIM’s clients include ERISA and non-ERISA pensions, endowments and foundations, insurance companies, sovereign wealth funds, US and non-US investment advisers and US and non-US registered and unregistered vehicles such as mutual funds, collective trust funds, UCITS and private funds.
MIM's Law Department provides legal advice across a range of issues affecting MIM’s investment management business and collaborates closely with colleagues across MIM’s compliance, operations, marketing, distribution, product, finance groups and investment professionals including, portfolio managers, traders, and analysts as well as colleagues across Manulife and John Hancock’s law and compliance groups.
Your Responsibilities
- Provide legal and regulatory advice to MIM with respect to supporting MIM’s investment management services globally along with supporting the structuring, distribution and development of new products and investment vehicles in the US and outside the US;
- Day to day support of MIM’s fixed income and equity investment management teams in collaboration with compliance professionals supporting the fixed income and equity teams on US and non-US legal and regulatory issues arising from trading, operational and/or research matters, including futures and mortgage securities forward transactions;
- Day to day support of derivatives team including reviewing and negotiating counterparty trading agreements such as ISDAs, MSFTA and futures account agreements as well as reviewing and providing support to trading operations for non-US trading;
- Drafting, reviewing and negotiating investment management agreements and amendments and related client documentation for ERISA and non-ERISA clients;
- Support various business entity corporate and regulatory requirements;
- Actively participate on various committees and working groups to advise on regulatory and legal risks;
- Review and provide legal and regulatory advice on new regulatory developments, including working with MIM’s compliance and business partners and colleagues across the Law Department in working groups and participating in industry groups;
- Other projects as assigned.
Your Required Skills
- JD and bar membership;
- 10 or more years proven experience;
- Solid understanding of the US Investment Advisers Act and experience supporting fixed income and equity portfolio management investment and trading issues;
- Solid understanding of plan investment issues of ERISA plan investors, and Commodity Exchange Act, including derivatives clearing and trading issues;
- Solid understanding of US Investment Company Act;
- Familiarity with international investment adviser regulations, including managed vehicles such as collective investment trusts and private fund vehicles and separately managed accounts;
- Familiarity with investing in private placements;
- Proven track record of working independently and efficiently and as a teammate in a fast paced fluid environment managing multiple tasks and projects concurrently, while maintaining the highest standards and attention to detail;
- Demonstrate leadership skill and the ability to work with and maintain a positive working relationship with a diverse team of legal and other professionals;
- Confidence and interpersonal and networking skills vital for effective interaction with business clients at all levels and external parties; Must be able to partner and maintain positive working relationship with legal department colleagues and senior management, investment management, risk, compliance, and other support areas with a proven track record to provide actionable, practical, sound legal advice;
- Outstanding communication, organizational, negotiation and writing skills.

The annual base salary for this role is listed below.

Salary range is expected to be between
$144,400.00 USD - $268,100.00 USD
