Senior Tax Attorney - Corporate
We are seeking a Senior Tax Attorney to join its Corporate Law practice.
This role requires knowledge of and demonstrated experience in Tax Law and Corporate services with 8+ years of relevant experience and a desire to serve their clients exceptionally.
Qualifications:
8 + years of experience
Juris Doctorate from an ABA accredited law school
Licensed to practice law in the state of Colorado
LLM preferred (equivalent considered)
Skills and Abilities:
Ability to work independently and as part of a team conducting research, preparing legal documents, and performing other duties to ensure clients receive the best and most cost- effective legal solutions
Familiarity with tiered entities, corporate conversions, complex partnership agreements (with profits interests), S-corporation F-reorgs, IP holding companies, 1202/Qualified Small Business Stock, ESOPs, Qualified Opportunity Zone, captive insurance and charitable planning structures
Knowledge of tax-free acquisition/merger structures, 1031 like-kind exchange and developer/land banking structures for real property
Develop implementation strategy and coordinate and consummate preparation of relevant documents
Excellent drafting skills coupled with the ability to formulate, consider and select the most appropriate solutions
Strong organizational skills and a self-starter with the ability to prioritize/manage workflow to meet deadlines
Experience with mergers & acquisitions, secured lending transactions and general corporate matters
Familiarity with employment profit sharing and exit strategies for retirement
Benefits And Compensation
The salary range for this position is $150,000-$180,000 depending on experience, with a compelling bonus structure.
