About This Role
The Legal Counsel, Mergers & Acquisitions is responsible for supporting the Director, Internal M&A Counsel in all aspects of Carrier’s day-to-day M&A activities, including public and private mergers, acquisitions, dispositions, joint ventures, external partnerships, and minority investments.
The position’s responsibilities will vary from deal to deal but will include overseeing aspects of the legal due diligence process, assessing due diligence findings, managing the work of outside counsel, coordinating all aspects of the cross-functional execution of M&A transactions, supporting the Internal M&A Counsel in drafting and negotiation of NDAs, letters of intent, purchase agreements, and facilitating all regulatory approval processes.
This position will also be responsible for reviewing Carrier’s M&A practices and processes with a view to developing and implementing a more systematized, process-based approach to the function. The role is responsible for supporting process and contract terms consistency and will implement processes to ensure institutional knowledge acquired in transactions is captured and shared throughout the function. Additionally, this position will support the Internal M&A Counsel and others in the function with corporate governance and management of Carrier’s global subsidiaries.
Key Responsibilities:
- Support the M&A Counsel in contract negotiation, contract drafting, and overseeing and assessing diligence on deals.
- Develop policies and workflows in connection with the M&A processes, including maintaining a library of form documents.
- Support corporate governance matters and joint venture management.
- Educate/train Corporate Development personnel regarding legal considerations.
- Be a key partner with/advisor to the Corporate Development group and business units.
Required Qualifications:
- Bar admission and Juris Doctor from an accredited law school with a strong academic record.
- 3+ years of M&A experience, including joint ventures, mergers, acquisitions, minority investments, and/or divestitures.
Preferred Qualifications:
- Cross-border M&A experience in Europe and/or LatAm and/or Asia.
- Requires broad management and leadership knowledge to lead project teams.
- Must have M&A and corporate governance experience, ideally acquired at a law firm.
- Must have experience managing and executing complex M&A processes.
- Positive attitude, with a team-oriented approach to advising.
- Superior work ethic, with an openness and eagerness to learn and develop.
- Quick learner, able to manage multiple priorities and clear communicator.
- Ability to balance numerous short-term and long-term responsibilities.
- Self-starter who is comfortable working under pressure.
- Resilient but flexible when the situation requires.
- Excellent legal and technical proficiency.
- High integrity and ethics in all dealings.
Key Internal Relationships
- Reports to the Director, M&A Counsel. Will work closely with the Corporate Development team.
- Interacts with a variety of corporate functions, business unit leaders, and associates at various levels.
Language Skills
- English fluency required. Additional language skills are beneficial.
