What's happening at Entrada Therapeutics? Our mission is to transform the treatment of devastating diseases by establishing a new class of medicines to engage intracellular targets that have long been considered inaccessible and undruggable.
Our Endosomal Escape Vehicle (EEV)-therapeutics represent a fundamental advancement in the field of intracellular therapeutics. They are designed to enable the efficient intracellular delivery of a wide range of therapeutics into a variety of organs and tissues, resulting in an improved therapeutic index. Through our EEV platform, we are building a diverse pipeline of RNA-, antibody- and enzyme-based programs for the potential treatment of neuromuscular, immunological, ocular, and metabolic diseases, among others.
Our lead oligonucleotide programs include ENTR-601-44 and ENTR-601-45 for the potential treatment of people living with Duchenne who are exon 44 and 45 skipping amenable, respectively, as well as our partnered candidate ENTR-701 targeting myotonic dystrophy type 1 (DM1).

The Opportunity
Entrada is seeking a Corporate Counsel to provide sophisticated legal support focusing on securities law, SEC and NASDAQ reporting and compliance, and corporate governance matters. The ideal candidate will support the legal team in other areas as well, including investor relations, marketing, and strategic transactions. The candidate will be a person of high integrity, judgment, and business acumen who is collaborative and comfortable working with colleagues at every level of the organization. In all matters, the successful candidate will not only display legal excellence, but also attention to detail, a proactive and practical approach, and a collegial and cooperative style.
As Corporate Counsel at Entrada, you will report to the SVP, General Counsel, and counsel on general corporate and corporate governance matters, serving as a key member of our legal team. You should be intellectually curious and ready to enthusiastically take on novel issues and will be expected to analyze information and can effectively advise management. This role will help the company to evolve into a commercial entity that will drive development, use, and commercialization of products in the field of intracellular therapeutics.
Responsibilities
- Advise on corporate finance and securities law matters, including preparing SEC and NASDAQ filings, including annual reports to shareholders and proxy statements, 10-Ks, 10-Qs, 8-Ks, S-8s, Section 16 reporting, stock-based compensation plans, and investor relations presentations. Collaborate with the Investor Relations and Finance teams on the quarterly earnings process.
- Assist in managing SEC and Nasdaq reporting and compliance activities and make recommendations related to the disclosure obligations and corporate compliance for a NASDAQ-listed company, including the Company’s Insider Trading Policy.
- Collaborate efficiently with the legal team and across the company, including the finance, research, business development, investor relations, and human resources functions, and have broad involvement in work resulting in alignment with Entrada’s business strategies and objectives.
- Monitor and analyze regulatory developments and best practices in the securities and corporate governance subject matter areas and drive compliance activities and education within the Company in response.
- Assist with maintaining and administering Company policies.
- Help prepare Board of Directors and Committee materials.
- Direct and correspond with outside counsel and other third parties regarding filings and corporate finance transactions.

To thrive on our team, you will need to come with:
- A JD from an accredited U.S. law school and a member of the bar, although it is not necessary for the attorney to be a member of any specific state bar.
- 3+ years of experience with strong substantive experience with SEC reporting (’33 and ’34 Act) and securities laws, either in-house, private practice, or both.
- A highly collaborative attitude with strong professionalism and people skills.
- Biotechnology and/or pharmaceutical experience preferred.
- Experience with transactional work and licensing a plus.
- Transactions and licensing experience preferred.
