Job Overview
Reporting to the General Counsel and Chief Compliance Officer, the Compliance Counsel is responsible for assisting with the organization's compliance, corporate governance and general legal needs, managing outside counsel and advising organizational staff as needs arise in the various lines of business. Corporate Counsel will be mainly responsible for drafting, reviewing and updating internal compliance processes, policies and procedures, researching and tracking relevant statutes and regulations applicable to the organization, assisting with compliance and risk mitigation, handling of compliance and ethics trainings and handling of internal self-audits with the guidance and supervision of the General Counsel, among other responsibilities.
Responsibilities
- Assist with managing legal affairs for the organization, providing legal and compliance counsel to organization staff, as needed.
- Advise on a broad range of corporate, employee, employee benefits, tax, regulatory, operational and compliance matters, as needed.
- Research, summarize and track applicable municipal, state and federal statutes, regulations, and codes applicable to the organization to ensure compliance needs and requirements. This includes research on CDFIs, landlord/tenant requirements, lending requirements, entity reporting requirements, investment reporting, tax implications, business registration requirements, etc.
- Review, draft, update, track and oversee compliance with all organization-wide processes, policies and procedures (e.g. conflict of interest policy; code of ethics; employee handbook; non-solicitation/non-compete; confidentiality policy; diversity and inclusion policy; annual review and compensation policy; disaster recovery plan; check, wire and expense report requirements; and other internal policies).
- Ensure compliance with any lender, investor, or regulatory filing requirements, including CDFI certifications, AERIS reporting requirements, Bond Guaranty Program filings, annual business registrations, financial covenant reporting, and loan renewals.
- Stay up to date with, research and advise staff on laws applicable to tax-exempt nonprofit organizations, private foundations, public charities, including fundraising, investment and lending requirements.
- Manage outside counsel, as required or needed, to provide specialized legal expertise and to manage timely provision of legal services.
- Supervise, train and work with Legal and Compliance Department's paralegals.
- Assist in developing and presenting training on legal and compliance issues.
- Assist with managing and coordinating the reporting and other compliance requirements for the organization's impact investments and other program-related investments.
- Recommend and assist with implementation and overseeing an internal audit function of the organization to undertake independent reviews and evaluations of management operations and activities and to ensure adherence with internal processes, policies and procedures.
- Coordinate with legal personnel at peer foundations and community development financial institutions regarding best practices and special projects.
- Keep abreast of news, blogs, and recent legal trends and case law and provide relevant updates internally with recommendations of any process, policy or business adjustments.
Qualifications
- Juris doctorate from a major, accredited law school required.
- Attorney in good standing, admitted to practice in at least one state (NJ/NY preferred).
- Minimum of five (5) years of legal practice in a major nonprofit organization, law firm or corporate in-house legal practice required.
- Experience with, and working knowledge of, compliance-related work and drafting and analysis of processes, policies and procedures.
- Experience in relevant field (compliance, finance, and real estate) preferred.
- Demonstrated knowledge of the laws and regulations applicable to tax-exempt and nonprofit organizations preferred.
- Broad experience in corporate business law and complex transactions helpful.
- Pragmatic approach to the practice of law required.
- Strong interpersonal skills with ability to communicate effectively, professionally and efficiently.
- Strong analytical skills and demonstrated ability to understand complex compliance and legal concepts and offer succinct explanations and counsel to colleagues.
- Strong written and oral communication skills, including public speaking.
