Associate – Fund Formation & Investment Management
Location: Boston, Chicago, or New York
AmLaw 50 firm is seeking an Associate with at least 3 years of relevant experience to join its Fund Formation & Investment Management (FFIM) Practice Group.
While the preferred location for this position is Boston, qualified candidates in Chicago or New York will also be considered. Other firm office locations may be evaluated based on business needs and the candidate's experience.
FFIM practice group provides comprehensive services to General Partners (GPs) and Limited Partners (LPs), with a deep understanding of the private funds industry's business objectives, dynamics, and trends.
Key Responsibilities:
- Solid fund formation and investment management experience, including structuring funds and management agreements.
- Negotiating with institutional investors such as government pension plans, funds-of-funds, endowments, and foundations.
- Handling secondary sales of LP fund stakes (both buy- and sell-side) and GP-led fund restructurings.
- Managing Investment Advisers Act registration and compliance, with a working knowledge of the Securities Act as it relates to private investment funds.
- Excellent document drafting skills and the ability to manage complex projects and transactions with multiple attorneys and paralegals.
- Working effectively in teams, engaging directly with partners, senior counsels, senior associates, and clients.
- Demonstrating a proactive, positive attitude, strong interpersonal skills, and an exceptional work ethic in a fast-paced, collaborative environment.
Qualifications:
- JD from an ABA-approved law school.
- Active membership in good standing with the Massachusetts Bar (or applicable state bar for other locations).

New York Applicants: In accordance with the New York City Human Rights Law, the expected salary range for this position is between $260,000 and $390,000 annually. Actual pay will be determined based on experience and other job-related factors.
