A law firm is seeking a Corporate (M&A) Associate Attorney to join their team in Chicago, IL. The ideal candidate should have 3-5 years of corporate transactional experience, with a focus on private company mergers and acquisitions, corporate governance, and advising middle-market companies. Experience in private equity, sophisticated M&A transactions, and private securities offerings is a plus. Candidates must have strong writing and communication skills and thrive in a fast-paced, collaborative environment.
Duties and Responsibilities:
- Handle private company mergers and acquisitions, including drafting, reviewing, and negotiating purchase agreements and other related transaction documents.
- Advise clients on corporate governance matters, including LLC and shareholder agreements.
- Assist with commercial contract drafting and negotiation, ensuring compliance with legal and business standards.
- Provide legal counsel to middle-market companies on general corporate matters, including structuring transactions and ongoing business operations.
- Collaborate with the firm’s legal team and clients to manage and execute corporate transactions.
- Participate in private equity transactions and sophisticated M&A deals as needed.
- Assist with private securities offerings, including preparation of offering documents and compliance with securities regulations.
- Conduct due diligence for corporate transactions, identifying risks and advising clients on mitigation strategies.
- Maintain a strong understanding of relevant laws and regulations affecting corporate transactions.
Requirements:
- 3-5 years of corporate transactional experience, particularly with mergers and acquisitions and general corporate matters.
- Experience with corporate governance, LLC/shareholder agreements, and commercial contracts.
- Familiarity with private equity and sophisticated M&A transactions is preferred.
- Experience with private securities offerings is a plus.
- Ability to work collaboratively within a team and handle multiple tasks in a fast-paced environment.
- Strong writing, drafting, and communication skills.
- Client-focused, with excellent problem-solving and negotiation abilities.
Education:
- Juris Doctor (J.D.) degree from an accredited law school.
Certifications:
- Licensed to practice law in the state of Illinois or the ability to obtain licensure in Illinois.
