THE OPPORTUNITY
As our General Counsel at Xactly Corporation, you’ll lead the corporate Legal department with a results-oriented focus and passion to solve complex problems creatively and practically that balances legal risk and enables business objectives. The Head of Legal, reporting directly to the CFO, will be responsible for supervising all legal affairs spanning HR and employment issues, intellectual property, commercial transactions, sales and partnership agreements, as well as litigation and other legal matters on a global scale. Leading a small team of attorneys, this role requires a balance of hands-on involvement, strategic direction-setting and management of legal operations.

The legal team is very respected and highly regarded in the organization. We hold a reputation for being creative problem solvers who skillfully guide risk-based decisions.
THE SKILL SET
- 15+ years of in-house legal experience preferred with consideration of equivalent transactional-based law firm experience, with at least one of those years working at a SaaS based software company
- Support and lead the team to negotiate technology contracts, including software licenses, SaaS subscription, reseller, OEM, professional services, statements of work, maintenance, subcontracting, hardware purchase, and nondisclosure agreements
- Expertise with NA, EMEA and APAC employment laws coupled with ability to provide practice advice to HR on such matters
- Experience leading strategy and tactics around litigation and other related matters
- Ability to handle regulatory and compliance matters, public policy advocacy, labor law, tax work, issues around intellectual property, and more.
- Experience coaching, mentoring and leading a team of attorneys to support the business in key legal areas.
- Develop and implement comprehensive intellectual property strategies, including patent, trademark, and copyright protections, resulting in a significant increase in the safeguarding of company assets and a reduction in legal risks.
- Analyze contract terms against industry best practices and company policy, then advise the business unit of the risks and mitigate those risks to achieve business objectives
- JD degree from an ABA-accredited law school with admission to the Bar in at least one U.S. state, with active and good standing membership
- Experience supporting go-to-market and sales teams
- Familiarity with software contract life cycle from pre-to-post-award
- CIPP - Privacy certification helpful and Data Processing Agreement negotiation experience preferred
- Ability to operate autonomously while being a collaborative team player.
- Demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously.
- Ability to build strong relationships internally and externally through collaboration.

WITHIN ONE MONTH, YOU’LL
- Get your bearings and begin to build a strong foundation of knowing the people, paper, and process at Xactly
- Build strong relationships with internal business partners including sales leaders and key members of procurement, marketing, finance, customer success, revenue operations, and product
WITHIN THREE MONTHS, YOU’LL
- Have a strong understanding of the business, and begin teaching us a thing or two we don’t know
- Close your first quarter supporting your unit of the sales team while gaining trust, credibility, and confidence with the revenue ops team
- Demonstrated ability to work independently, meet tight deadlines, stay mission-focused, get things done, and work efficiently in an international team environment
- Be able to communicate clearly and ask concise questions involving complex technologies to obtain the answers from business partners, learn from those answers, and make a recommendation based on experience and competent legal advice
WITHIN SIX MONTHS, YOU’LL
- Begin to implement the vision for change/impact that you have been developing over the past 6-months
- Suggest changes to improve the legal process and be held accountable for monitoring legal metrics
- Maintain a high level of organizational attention to detail and ability to manage multiple simultaneous projects under deadline pressures with the support of an amazing legal team
WITHIN TWELVE MONTHS, YOU’LL
- Be seen as a well-versed, trusted business advisor and expert, making a significant positive impact company-wide

The compensation range is specific to the posted job location and role and takes into account the wide range of factors considered in making compensation decisions but not limited to skill sets, experience, training, licensure, certifications, performance, and market and peer comparisons. A reasonable range estimate is $220,000 to $275,000 plus applicable bonus.
Applications will be accepted only for those currently residing in the posted country for this role. There is no expectation of approval for an international relocation for this job.
