JOB SUMMARY
The General Counsel position holds the pivotal responsibility of safeguarding Prolink's legal integrity to advance the company's mission and objectives. This role involves identifying and evaluating legal risks, collaborating extensively across the organization to provide guidance and recommendations to business leaders on proactive risk mitigation strategies. The General Counsel assumes a crucial role in managing Prolink's litigation affairs, ensuring compliance with federal and state laws, and providing legal support for due diligence processes related to potential acquisitions, mergers, and strategic alliances.
ROLE & RESPONSIBILITIES
- Collaborate with key stakeholders to refine Prolink’s overarching risk management philosophy and approach to legal compliance, including crisis management.
- Spearhead the strategic development and organizational framework of our legal department, while providing consultative expertise on intricate and sensitive matters.
- Evaluate existing partnerships and guide the selection and retention process of external legal firms, considering factors such as rates, alternative fee structures, quality, efficiency, and strategic alignment.
- Establish and enforce departmental standards and protocols, including procedures for retaining external counsel, ongoing legal education, and contract review and approval.
- Identify, assess, and implement appropriate legal technologies, tools, and services to optimize quality and cost-effectiveness in vendor relationships.
- Proactively identify internal and external legal concerns, collaborate with organizational leadership to devise risk mitigation strategies, and foster cross-functional alignment.
- Develop practices that raise leadership awareness of legal issues and formulate action plans to balance Prolink’s interests with those of clients, while ensuring compliance standards are upheld.
- Translate legal complexities into tangible cost and risk assessments to assist leadership in prioritizing strategic initiatives.
- Manage the legal budget, encompassing both in-house and external legal counsel expenditures.
- Oversee the Employment Practices Liability Insurance (EPLI) claims management, with reporting to insurance brokers, including periodic assessment of coverage adequacy, effectiveness of panel counsel, and associated costs.
- Oversee coordination with internal stakeholders to formulate, implement, and operationalize policies and procedures.
- Represent Prolink’s interests in negotiations and discussions with external entities, including but not limited to customers, vendors, partners, competitors, and government agencies.
- Perform other related duties as assigned.
REQUIREMENTS
- At least 10 years of experience practicing law, 5 years as a General Counsel.
- Must be licensed to practice law in the state of Ohio or willing to become licensed in the state of Ohio within the first 180 days of employment.
- A juris doctor (JD).
- Proven arbitration and mediation skills.
- Excellent negotiation and communication skills.
- Technical writing capability related to policy and practice.
- Analytical ability and strong attention to detail.
- Multi-state labor and employment law experience preferred.
- Staffing or Professional Outsourcing Services industry experience preferred.
