The Associate General Counsel works closely with the General Counsel and other members of the Legal Team to provide comprehensive legal support and guidance to the organization. The Associate General Counsel is expected to have a broad skillset and demonstrated experience with litigation management, corporate law, contracts, compliance, intellectual property, and employment law. This role reports to the General Counsel.
Responsibilities
- Provide legal advice and support to various departments within the organization on a wide range of legal matters, including litigation, corporate governance, commercial and sales contracts, intellectual property, employment law, and regulatory compliance.
- Draft, review, and negotiate a variety of contracts, agreements, and other legal documents, ensuring that they comply with applicable laws and regulations and protect the company’s interests.
- Asist in the development and implementation of corporate policies, procedures, and compliance programs to ensure compliance with applicable laws, regulations, and industry standards.
- Manage and oversee litigation and dispute resolution matters, including working with external counsel, conducting legal research, drafting legal pleadings and motions, and representing the company in negotiations, mediations, arbitrations and court proceedings.
- Stay informed about changes in laws, regulations, and industry trends that may impact the company and provide proactive advice and recommendations to mitigate legal risks and ensure compliance.
- Collaborate with other members of the legal department and cross-functional teams to address legal issues and achieve business objectives.
- Assist in corporate transactions, including mergers and acquisitions, joint ventures, strategic partnerships, and corporate restructuring, by conducting due diligence, drafting transaction documents, and providing legal support throughout the deal process.
- Handle other legal matters and special projects as assigned by the General Counsel or senior management.
Qualifications
- Strong understanding of the litigation process, including managing litigation and working with outside counsel.
- Strong knowledge and understanding of corporate law, contracts, commercial transactions, intellectual property, employment law, and regulatory compliance.
- Excellent drafting, negotiation, analytical, and problem-solving skills, with close attention to detail.
- Ability to effectively communicate complex legal concepts and provide practical, business-oriented advice to non-legal stakeholders.
- Proven ability to manage multiple priorities and work independently in a fast-paced environment while maintaining a high level of professionalism and confidentiality.
- Demonstrated leadership and management capabilities.
- 10+ years of experience practicing law, preferably in a corporate legal department or law firm environment.
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with at least one state and eligible to be admitted in Utah.
- Corporate counsel experience.
- Professional medical liability experience.
We believe in fair compensation for all of our people, which is why our pay structure takes into account the cost of labor across U.S. geographic markets. For this position, we offer a pay range of $179,800 -- $389,000 annually, with pay varying depending on work location and job-related factors such as knowledge, position level and experience. During the hiring process, your recruiter can provide more information about the specific salary range for the job location.
CHG Healthcare offers starting salaries for sales positions in the form of total target compensation (TTC = base + commission + bonus), which includes base pay, commission, and bonuses. Sales positions receive short-term incentives through commission plans and bonuses. On the other hand, non-sales positions have starting salaries that consist of a base salary and short-term incentives through various bonus plans, which are paid out monthly, quarterly, or annually.
